Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

PharmaCyte Biotech, Inc. (PMCB) dismissed CBIZ CPAs P.C. and engaged Grassi & Co., CPAs, P.C. as its independent registered public accounting firm, both effective October 14, 2026. Grassi will audit the consolidated financial statements for the fiscal year ending April 30, 2027, and review interim statements beginning with the quarter ending October 31, 2026.

PharmaCyte reported no disagreements with CBIZ during the fiscal years ended April 30, 2026 and 2025, or the subsequent interim period through October 14, 2026. CBIZ’s reports contained no adverse or disclaimer opinion and were not qualified or modified. The company identified previously disclosed material weaknesses in internal control over financial reporting involving insufficient segregation of the Chief Financial Officer’s duties and insufficient management review controls; these were the only reportable events identified for those periods.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

independent registered public accounting firm technical
"Grassi as the Company’s new independent registered public accounting firm"
An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.
material weaknesses technical
"material weaknesses in the Company’s internal control over financial reporting"
Material weaknesses are significant flaws in a company’s systems for ensuring its financial reports are accurate and reliable. Like a broken lock on a safe, they increase the chance that financial statements contain big errors or omissions, which can mislead investors about performance and risk; discovering one often raises questions about management oversight, may lead to restated results, and can affect investor confidence and a company’s valuation.
segregation of duties technical
"insufficient segregation of duties of the Chief Financial Officer"
Segregation of duties is the practice of splitting important financial and operational tasks among different people so no single person can both start, approve, and record the same transaction — like having one person ring up sales and another person deposit the money. For investors, it matters because this simple separation reduces the chance of mistakes or fraud, helps ensure financial reports are trustworthy, and lowers legal and reputation risk that can affect a company’s value.
reportable events regulatory
"there were no “reportable events”"
Reportable events are significant incidents or changes a company is legally required to disclose to regulators and the public, such as major safety problems, legal actions, financial irregularities, or management changes. They matter to investors because these events can alter a company’s risk profile or future performance, much like a dashboard warning light signals a problem that could affect a car’s safety or reliability. Timely disclosure helps investors make informed decisions and maintain market fairness.

(a) Dismissal of Independent Registered Public Accounting Firm

On October 14, 2026, the Audit Committee (the “Audit Committee”) of the Board of Directors of PharmaCyte Biotech, Inc. (the “Company”) dismissed CBIZ CPAs P.C. (“CBIZ CPAs”) as the Company’s independent registered public accounting firm, effective as of that date.

The reports of CBIZ CPAs on the Company’s consolidated financial statements as of and for the fiscal years ended April 30, 2026 and April 30, 2025 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles.

During the fiscal years ended April 30, 2026 and April 30, 2025, and the subsequent interim period through October 14, 2026, there were (i) no “disagreements” (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions thereto) between the Company and CBIZ CPAs on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of CBIZ CPAs, would have caused CBIZ CPAs to make reference to the subject matter of the disagreements in connection with its reports on the Company’s consolidated financial statements for such periods, and (ii) no “reportable events” (as defined in Item 304(a)(1)(v) of Regulation S-K), except for the material weaknesses in the Company’s internal control over financial reporting disclosed in the Company’s Annual Reports on Form 10-K for the fiscal years ended April 30, 2026 and April 30, 2025, relating to insufficient segregation of duties of the Chief Financial Officer and insufficient management review controls. The Company has authorized CBIZ CPAs to respond fully to the inquiries of Grassi (as defined below) concerning the material weaknesses.

The Company has provided CBIZ CPAs with a copy of the disclosures made in this Current Report on Form 8-K prior to the filing hereof with the Securities and Exchange Commission (the “SEC”) and has requested that CBIZ CPAs furnish the Company with a letter addressed to the SEC stating whether it agrees with the statements made by the Company in response to Item 304(a) of Regulation S-K and, if not, stating the respects in which it does not agree. A copy of CBIZ CPAs letter, dated October 16, 2026, is filed as Exhibit 16.1 to this Current Report on Form 8-K.

(b) Engagement of New Independent Registered Public Accounting Firm

On October 14, 2026, the Audit Committee approved the engagement of Grassi & Co., CPAs, P.C. (“Grassi”) as the Company’s new independent registered public accounting firm, effective as of that date, to audit the Company’s consolidated financial statements for the fiscal year ending April 30, 2027 and to review the Company’s interim financial statements commencing with the fiscal quarter ending October 31, 2026.

During the fiscal years ended April 30, 2026 and April 30, 2025, and the subsequent interim period through October 14, 2026, neither the Company nor anyone acting on its behalf consulted with Grassi regarding (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s consolidated financial statements, and neither a written report nor oral advice was provided to the Company that Grassi concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or (ii) any matter that was either the subject of a “disagreement” (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions thereto) or a “reportable event” (as defined in Item 304(a)(1)(v) of Regulation S-K).
