Rhea-AI Filing Summary

Pono Capital Four, Inc., its merger subsidiary Pono Four Merger Sub, Inc., and Blackstar Orbital Technologies Corporation amended their merger agreement on November 5, 2026. The amendment reduces the Base Purchase Price used to determine the Parent Shares comprising the Aggregate Merger Consideration for Blackstar securityholders from $380 million to $200 million.

The amendment increases the number of Parent Shares reserved for issuance under the Equity Incentive Plan as of closing from 6 million to 7.4 million, and extends the Company Outside Closing Date from March 31, 2027 to June 30, 2027. Other agreement terms remain unchanged. The business combination will be submitted to Pono shareholders; Pono intends to file a Form S-4 registration statement with a preliminary proxy statement/prospectus, and a definitive proxy statement/prospectus will be mailed to shareholders as of a record date to be established.

Filing Explained

The amendment to the still-pending merger agreement increases the equity-plan reserve from 6 million to 7.4 million shares at closing, adding capacity for future issuance, not shares already issued; only if reserved shares are later issued would the larger share count reduce existing holders’ percentage ownership.
