The Reporting Person may be deemed to beneficially own 1,930,663 shares of Common Stock, representing 8.4% of the Common Stock outstanding based upon 23,008,511 shares of the Issuer's Common Stock outstanding as of May 30, 2025, as disclosed in the Issuer's Proxy Statement on Form DEF 14-A filed with the SEC on June 13, 2025.

(c)	During the past sixty days, the Reporting Person has not engaged in any transactions in the Issuer's Common Stock other than the following: -- On July 31, 2025, the Reporting Person sold 9,785 shares of Common Stock at a weighted average price of $95.6647 per share in a series of open market transactions on the Nasdaq stock market. -- On August 1, 2025, the Reporting Person sold 22,189 shares of Common Stock at a weighted average price of $91.0405 per share in a series of open market transactions on the Nasdaq stock market. -- On August 4, 2025, the Reporting Person sold 700 shares of Common Stock at a weighted average price of $91.0214 per share in a series of open market transactions on the Nasdaq stock market. -- On August 5, 2025, the Reporting Person sold 71,079 shares of Common Stock at a weighted average price of $91.9776 per share in a series of open market transactions on the Nasdaq stock market.
