TL;DR: Routine disclosure of share capital and voting rights; useful for compliance with UK notification rules.

This Form 6-K provides a standard, administratively important update of Prudential plc's issued share capital and total voting rights as of 30 September 2025. The disclosure confirms the precise denominator (2,565,923,562 votes) used by investors and other market participants to assess notification thresholds under the Disclosure Guidance and Transparency Rules. As a governance matter, the filing clarifies there are no treasury shares, which simplifies calculations of economic and voting exposure.

TL;DR: Non-material market notice that ensures market participants can determine notification obligations accurately.

From a compliance perspective, this notice is procedural but material for shareholders who monitor threshold crossings. It supplies the exact share count and confirms listing venues and contact channels for submitting major shareholding notifications. There are no changes to capital structure, no issuance or buyback announced, and no financial metrics disclosed.
