Here are the DEF 14A proxy statements from PowerCompute, Inc. (PWCM) in our archive over the last 12 months, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A DEF 14A covers the proxy statement, with executive pay and the shareholder votes, so if you follow PWCM and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full PWCM filings page.
PowerCompute, Inc. (PWCM) asks stockholders to authorize a reverse split of its common stock at a ratio from 1-for-2 to 1-for-10, with the exact ratio chosen by the Board. If approved, the Board may implement it before December 31, 2027, or abandon it; approval does not require a split. Stockholders are also asked to authorize adjournments, if necessary or appropriate, to seek additional proxies. As of October 16, 2026, 2,535,061 shares were outstanding; the company estimates approximately 253,506 to 1,267,531 shares after a split, depending on the ratio and shares outstanding when it takes effect.
PowerCompute completed a 1-for-25 split on July 13, 2026, and Nasdaq notified it on July 27 that it had regained the $1.00 minimum bid-price requirement. If another split is implemented, a new one-year period would begin during which PowerCompute would be ineligible for a bid-price compliance period. A split of 1-for-10 or greater on or before July 13, 2028 would also result in a cumulative ratio of 250 shares or more to one. The company says a split cannot guarantee a sustained share-price increase or continued Nasdaq listing. It also says authorized but unissued common shares would increase and could be issued, diluting holders.
