On July 28, 2026, the Registrant announced that its board of directors has decided not to declare any quarterly cash dividends on its common stock going forward.
Stock Repurchase Program
On July 27, 2026, the board of directors of the Registrant authorized a stock repurchase program for the repurchase of up to $2.0 billion of the Registrant’s common stock from time to time through January 31, 2029, on the open market or in privately negotiated transactions, in compliance with applicable securities laws and other legal requirements. This newly authorized stock repurchase program succeeds in its entirety the $2.0 billion stock repurchase program that was approved by the board of directors on February 4, 2025, which has been terminated as of July 27, 2026.
The timing and amount of any repurchases of the Registrant’s common stock under the new stock repurchase program will be determined by the Registrant’s management based on its evaluation of market conditions and other factors. The stock repurchase program may be suspended or discontinued at any time. The Registrant currently expects to fund the stock repurchase program using its working capital.
