The group’s total loss was $56,950,494 and net assets declined to $22,323,683 from $42,871,904. Cash reserves dropped to $4,138,074 (30 June 2025: $29,116,835) after net operating cash outflows of $52,782,838. Net tangible assets per share were a negative 0.45 cents (2025: negative 0.16 cents), reflecting balance sheet strain.

R&D expenses rose to $49,962,899 (2025: $27,515,194), focused on programs including NanoMab, R&D Ventures, Diaprost and Pivalate – Imperial. Ownership in Radiopharm Ventures, LLC increased to 87.5%. Audited financial statements are expected by the end of September 2026 and are anticipated to include a material uncertainty in relation to going concern. On 24 July 2026 the company announced an institutional offer of A$12.5 million and a A$6 million Share Purchase Plan.

Positive

  • A$18.5 million in capital raising initiatives announced after year-end (A$12.5 million institutional offer plus A$6 million Share Purchase Plan), which, if completed, would add to liquidity compared with the $4,138,074 cash balance at 30 June 2026.

Negative

  • Revenue declined 23.8% to $2,767,888 while loss attributable to owners increased 50.3% to $55,149,150, indicating significantly higher losses on a smaller revenue base.
  • Cash reserves fell from $29,116,835 to $4,138,074 with net operating cash outflows of $52,782,838, materially weakening the liquidity position.
  • Net tangible assets per ordinary security deteriorated to negative 0.45 cents (2025: negative 0.16 cents), reflecting increased accumulated losses against tangible asset backing.
  • The company expects its audited financial statements for the year ended 30 June 2026 to include a material uncertainty in relation to going concern.

Filing Explained

The July 24 financing was still proposed: 448,839,531 new shares in one tranche, while 384,493,800 shares were described as underlying the U.S. offering.

As a Form 6-K, this report furnishes material information published in the company’s home market and includes its preliminary final report and financing update.

The July 24 post-year-end financing was disclosed as proposed: a placement would issue approximately A$12.5 million of securities, including 448,839,531 new ordinary shares at A$0.015 each, while a separate U.S. direct registration offering concerned 384,493,800 underlying ordinary shares at US$3.16 per ADS.

If the placement shares are issued, the total share count would increase and existing holders’ percentage ownership would be reduced; the filing does not establish that either offering had settled when this report was filed.

The Form 6-K is incorporated by reference into the company’s Form F-3 registration statement, which gives the disclosure registration significance but does not by itself show that the registered securities were sold or that proceeds were received.

Appendix 4E regulatory
"titled “Appendix 4E and Preliminary Final Report”"
material uncertainty in relation to going concern financial
"expected to be released by the end of September 2026 with a material uncertainty in relation to going concern"
contingent consideration financial
"Diaprost contingent consideration ... NanoMab contingent consideration* ... Pivalate contingent consideration"
Contingent consideration is an additional payment agreed when one company buys another that will be paid later only if specific future targets are met, such as revenue, profit, or regulatory milestones. It matters to investors because it shifts risk between buyer and seller and affects the acquiring company's future cash flow and reported value — like promising a bonus after results are proven.
R&D tax incentive financial
"in relation to the R&D tax incentive (30 June 2025: $10,171,532)"
A research and development (R&D) tax incentive is a government program that returns part of a company’s spending on developing new products, processes, or technologies, similar to getting a discount or rebate for innovation costs. For investors this matters because it lowers effective development costs, improves cash flow and margins, and can speed up projects—factors that affect profitability, risk and the valuation of companies pursuing new growth.
Share Purchase Plan financial
"announced an A$12.5 million institutional offer and launched A$6 million Share Purchase Plan"
A share purchase plan is an offer that lets existing shareholders buy additional shares directly from a company, usually at a set price and often with lower fees than buying on the open market. Think of it like a limited-time group sale that raises cash for the company; it matters to investors because it can be a cheap way to increase holdings, but adding more shares can reduce each existing share's slice of ownership and influence the stock price.
non-controlling interest financial
"Non-controlling interest (2,363,526)"
Non-controlling interest represents the portion of ownership in a company held by investors who do not have a controlling stake, meaning they do not have enough voting power to make major decisions. It is similar to owning a minority share of a business partner’s company—while they benefit from profits, they cannot control how the company is run. This matters to investors because it shows how much of the company's value is owned by outside shareholders and affects overall financial reporting.
