Form 6-K regulatory
"FORM 6-K Report of Foreign Private Issuer Pursuant to Rule 13a-16"
A Form 6-K is a report that companies listed in certain countries file to provide important updates, such as financial results, corporate changes, or other significant information, to regulators and investors. It functions like an official company update or news release, helping investors stay informed about developments that could affect their investment decisions.
American Depositary Receipts financial
"holders of record of ADSs, evidenced by American Depositary Receipts issued"
A certificate traded on U.S. markets that represents ownership of shares in a foreign company, letting U.S. investors buy and sell that company as if it were listed domestically. Think of it as a local voucher for a foreign product: it makes price quotes in dollars, trades on familiar exchanges, and brings differences in liquidity, fees and legal protections that can affect returns and risk compared with buying the underlying foreign shares directly.
Position Statement regulatory
"Shareholders wishing to express their position ... may do so by submitting a written statement (“Position Statement”)"
Israel Companies Law regulatory
"in accordance with the guidelines set by the Israel Companies Law, will be furnished"
quorum regulatory
"If within half an hour from the time appointed for the General Meeting, a quorum is not present"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
