Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Rekor Systems, Inc. received an additional 180-calendar-day period from Nasdaq, through April 26, 2027, to regain compliance with the $1.00 minimum bid price requirement. The notice has no immediate effect on listing or trading; Rekor’s common stock continues to trade on The Nasdaq Capital Market under REKR.

To cure the deficiency, the closing bid price must be at least $1.00 per share for a minimum of ten consecutive business days during the additional period. The original 180-calendar-day period expired October 26, 2026, after Nasdaq had notified Rekor that its closing bid was below $1.00 for 30 consecutive business days. The extension concerns only bid price; Rekor remains obligated to meet Nasdaq’s other listing requirements. Rekor says it intends to regain compliance, but if it does not by April 26, 2027, Nasdaq will issue written notification that its securities will be delisted. Rekor may appeal, but a hearing request would not stay a trading suspension; the company says there can be no assurance it will regain compliance or maintain compliance with other listing requirements.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Minimum Bid Price Requirement regulatory
"regain compliance with the Minimum Bid Price Requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
market value of publicly held shares regulatory
"continued listing requirement for market value of publicly held shares"
The market value of publicly held shares is the total dollar worth of a company’s shares that are available to outside investors, calculated by multiplying the current market price by the number of shares held by the public (the “float”). It matters because it tells investors how much of the company is actually tradable and how the market is pricing that tradable portion—like a price tag on the items on a store shelf, it affects liquidity, volatility and how easy it is to buy or sell a meaningful stake.
Nasdaq Hearings Panel regulatory
"appeal that determination to a Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

How long does REKR have to regain Nasdaq bid-price compliance?

Nasdaq granted REKR an additional 180-calendar-day period, through April 26, 2027, to regain compliance with its $1.00 minimum bid price requirement. The closing bid price must be at least $1.00 per share for a minimum of ten consecutive business days during that period.

What happens to REKR if it misses Nasdaq’s April 26, 2027 deadline?

If Rekor does not regain compliance by April 26, 2027, Nasdaq will issue written notification that its securities will be delisted. Rekor may appeal that determination to a Nasdaq Hearings Panel, but a hearing request would not stay the suspension of trading.

Item 3.01
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 27, 2026, Rekor Systems, Inc. (the “Company”) received written notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) granting the Company an additional 180-calendar-day period, until April 26, 2027, to regain compliance with the minimum $1.00 bid price per share requirement under Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”). The notice has no immediate effect on the listing or trading of the Company’s common stock, which continues to trade on The Nasdaq Capital Market under the symbol “REKR.”

As previously disclosed, Nasdaq notified the Company on April 27, 2026 that it did not satisfy the Minimum Bid Price Requirement because the closing bid price of its common stock had been below $1.00 per share for 30 consecutive business days. The initial 180-calendar-day compliance period expired on October 26, 2026.

Nasdaq granted the additional period under Listing Rule 5810(c)(3)(A)(ii) based on the Company’s compliance with the continued listing requirement for market value of publicly held shares and all other applicable requirements for initial listing on The Nasdaq Capital Market, other than the Minimum Bid Price Requirement, and the Company’s written notice of its intention to cure the deficiency during the additional period.

To regain compliance, the closing bid price of the Company’s common stock must be at least $1.00 per share for a minimum of ten consecutive business days during the additional compliance period.

The Company intends to regain compliance within the additional period. If the Company does not regain compliance by April 26, 2027, Nasdaq will issue written notification that the Company’s securities will be delisted. The Company may appeal that determination to a Nasdaq Hearings Panel, but a hearing request would not stay the suspension of trading. The additional compliance period relates solely to the bid-price deficiency and does not affect the Company’s obligation to comply with Nasdaq’s other listing requirements. There can be no assurance that the Company will regain compliance within the additional period or maintain compliance with Nasdaq’s other listing requirements.
