(the “Company”) announced that it intends to adjourn the Extraordinary General Meeting of Shareholders (the “Extraordinary General Meeting”), originally scheduled to be held on Monday, March 16, 2026 at 10:00 a.m. Eastern Time, to allow additional time for the Company to solicit proxies with respect to the proposals set forth in the notice of the Extraordinary General Meeting and the accompanying proxy statement.

The Company will announce the date and time to which the Extraordinary General Meeting will be adjourned once determined.

Only shareholders of record as of the close of business on February 18, 2026 (the “Record Date”) are entitled to vote at the Extraordinary General Meeting.
