Filing Explained

The key holder-level change is a 15% public float alongside approximately 85% of 13,619,997 shares locked up for at least twelve months.

Form 8-Ks report specified material events, and this filing uses Item 8.01 to disclose the post-combination status of RTB Digital, Inc.’s shareholder lock-up arrangements.

Following consummation of the combination on May 12, 2026, the company states that it completed the lock-up of shares held by founders and major investors.

As of July 13, 2026, it reports 13,619,997 common shares issued, outstanding and under issuance instruction, with approximately 15% in the public float and approximately 85% subject to lock-up arrangements for at least twelve months.

The disclosed structure therefore places the larger share block under lock-up while the public float remains approximately 15%; the filing says the locked shares will be released incrementally thereafter.

The company characterizes the lock-ups as voluntary arrangements entered into by the applicable shareholders.
