Rhea-AI Filing Summary

Ryde Group Ltd entered into a private securities purchase agreement with several investors to sell 37,250,000 Class A ordinary shares at US$0.40 per share. This private offering is expected to close on or about April 10, 2026 and is intended to raise approximately US$14.9 million in gross proceeds for the company.

The shares are being sold in a transaction exempt from registration under the U.S. Securities Act, relying on Section 4(a)(2) and/or Regulation D, to accredited investors acquiring “restricted securities.” Ryde also highlights that its Class A ordinary shares remain listed on NYSE American under “RYDE” but that it is currently operating under a NYSE American compliance plan after previously falling below the stockholders’ equity requirement of US$4.0 million, with a deadline of November 21, 2026 to regain full compliance.

  • None.

Negative

  • Ongoing NYSE American listing risk: Ryde remains under a NYSE American compliance plan after falling below the US$4.0 million stockholders’ equity requirement, and will be subject to delisting proceedings if it is not in compliance by November 21, 2026 or fails to make sufficient progress under the plan.

Insights

Ryde raises private equity as it works through NYSE American compliance plan.

Ryde Group Ltd is using a private offering to sell 37,250,000 Class A ordinary shares at US$0.40, for about US$14.9 million in gross proceeds. The securities are unregistered in the U.S. and sold under Section 4(a)(2)/Regulation D to accredited investors, so they will initially be restricted.

The company discloses it previously received a NYSE American notice because stockholders’ equity was below US$4.0 million, triggering a plan to regain compliance by November 21, 2026. NYSE American accepted that plan, and Ryde’s Class A ordinary shares continue to trade under “RYDE” during the plan period.

The equity raise increases cash but also adds a large block of new shares, which can be dilutive to existing holders. Whether this helps Ryde meet the stockholders’ equity threshold will be evaluated in NYSE American’s periodic reviews, including quarterly monitoring for progress against the accepted plan.

private offering financial
"the Company agreed to issue and sell to the Investors, in a private offering 37,250,000 Class A ordinary shares"
A private offering is the sale of securities—such as shares or bonds—directly to a limited group of investors rather than through public markets or a broad auction. It matters to investors because it changes who owns the company and how much cash the business has available, which can dilute existing shareholders, affect share liquidity and price discovery, and signal strategic moves or funding needs; think of it as selling a batch of goods to a few trusted customers instead of opening a shop to everyone.
Regulation D regulatory
"offered and sold pursuant to an exemption from the registration requirements of Section 5 of the Securities Act contained in Section 4(a)(2) thereof and/or Regulation D thereunder"
Regulation D is a set of rules that govern how companies can raise money from investors without going through the full process required for public stock offerings. It provides simplified options for private placements, making it easier for companies to seek investments from a smaller group of investors. For investors, it offers opportunities to invest in private companies, often with fewer restrictions, but also with different levels of risk and disclosure.
accredited investor regulatory
"Each Purchaser is an “accredited investor”, as that term is defined in Rule 501(a) of Regulation D of the Securities Act"
An accredited investor is an individual or entity that meets certain financial criteria, such as having a high income or significant net worth, allowing them to invest in private or less regulated investment opportunities. This status matters because it grants access to investments that are often riskier or less available to the general public, reflecting a higher level of financial knowledge or resources.
restricted securities regulatory
"The Purchaser understands that the Class A Ordinary Shares are “restricted securities” and have not been registered under the Securities Act"
Restricted securities are shares or other investment instruments that come with legal or contractual limits on when and how they can be sold, like stock given to founders or bought in a private offering. Think of them as assets in a locked box that can’t be freely traded until certain conditions — such as a waiting period, company registration, or specific approvals — are met. For investors this matters because restricted securities are less liquid and can affect timing, price, and perceived value when they eventually enter the market.
continued listing standards regulatory
"the Company were not in compliance with the continued listing standards set forth in Sections 1003(a)(ii) of the NYSE American Company Guide"
Ongoing rules a stock exchange requires a listed company to meet to keep its shares trading publicly, such as minimum share price, market value, timely financial reports, and governance practices. Think of it as a membership checklist for a club: falling short can lead to warnings or removal from the exchange, which can sharply reduce liquidity, investor confidence, and a stock’s value. Investors watch these standards to gauge regulatory risk and the stability of their holdings.
stockholders’ equity financial
"Section 1003(a)(ii) applies if a listed company has stockholders’ equity of less than US$4.0 million"
Stockholders’ equity is the portion of a company’s value that belongs to its owners after subtracting what the company owes from what it owns — like the equity in a house after paying the mortgage. For investors it shows the company’s net worth and can indicate financial strength, a cushion against losses, and the amount potentially available to support dividends or reinvestment; tracking changes helps assess whether the business is building or eroding owner value.

In the event that any signature is delivered by facsimile transmission or by e-mail delivery of a “.pdf” format data file, such signature shall create a valid and binding obligation of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile or “.pdf” signature page were an original thereof.

6.11 Severability. If any term, provision, covenant or restriction of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, void or unenforceable, the remainder of the terms, provisions, covenants and restrictions set forth herein shall remain in full force and effect and shall in no way be affected, impaired or invalidated, and the parties hereto shall use their commercially reasonable efforts to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such term, provision, covenant or restriction. It is hereby stipulated and declared to be the intention of the parties that they would have executed the remaining terms, provisions, covenants and restrictions without including any of such that may be hereafter declared invalid, illegal, void or unenforceable.

6.12 Remedies. The parties hereto acknowledge and agree that irreparable harm would occur for which money damages would not be an adequate remedy if any provision of this Agreement was not performed in accordance with its specific terms or was otherwise breached. It is accordingly agreed that, in addition to any other remedies at law or in equity, each party hereto shall be entitled to injunctions to prevent breaches or threatened breaches of this Agreement and to enforce specifically the terms and provisions of this Agreement without posting any bond or other undertaking.

6.13 Construction. The parties agree that each of them and/or their respective counsel have reviewed and had an opportunity to revise the Transaction Documents and, therefore, the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of the Transaction Documents or any amendments thereto.
