Insights

Safe Bulkers prepares conditional dual listing on Euronext Athens.

Safe Bulkers has obtained confirmation from Euronext Athens that all requirements for a dual listing of its common stock on the Main Market are satisfied, subject to approval of a prospectus by the Hellenic Capital Markets Commission.

This step adds a potential new trading venue in the company’s home region, alongside its existing NYSE listings in common and preferred shares. The filing does not describe any new share issuance, focusing instead on listing mechanics and regulatory approvals.

The timing of trading commencement on Euronext Athens depends on prospectus approval by the Hellenic Capital Markets Commission. Subsequent company communications are expected to specify the effective trading date once that approval is granted.

dual listing financial
"Safe Bulkers, Inc. Dual Listing on the Main Market of Euronext Athens Stock Exchange"
A dual listing is when a company makes the same shares available on two different stock exchanges, often in different countries, so investors can buy and sell the same ownership stake in more than one market—like a shop opening branches in two cities that sell the same product. It matters to investors because it can widen the pool of buyers, make shares easier to trade, expose the stock to different currencies and rules, and create price differences or arbitrage opportunities that affect returns and risk.

"This press release contains forward-looking statements"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
Form F-3 regulatory
"incorporated by reference into our registration statement on Form F-3"
Form F-3 is a U.S. securities filing that lets eligible foreign companies pre-register and then quickly sell shares or other securities to raise money, because they already meet ongoing reporting and size tests. For investors it signals that the company is up-to-date with regulatory disclosure and has an efficient way to issue new securities — similar to a pre-approved credit line — which can mean faster capital raises but also potential dilution of existing holdings.
