Rhea-AI Filing Summary

SPACCircle Acquisition Corp. completed its initial public offering of 10,000,000 units at $10.00 each, generating $100,000,000 in gross proceeds. Each unit contains one Class A ordinary share, one warrant to purchase one Class A ordinary share at $11.50, and one right to receive one-half of a Class A ordinary share upon an initial business combination. The company also sold 266,590 private placement units to its Sponsor for $2,665,900.

The company placed $100,500,000 of IPO and private-placement proceeds in a U.S.-based trust account. Funds are held until completion of a business combination, redemption if no combination is completed within 12 months after the IPO closing (or an earlier board-approved liquidation date), or specified shareholder redemptions tied to a vote to amend provisions governing redemption or material shareholder rights or pre-combination activity. Interest may be released for taxes and winding-up or dissolution expenses. The trust amount includes up to $4,000,000 in deferred underwriting commissions, solely on funds remaining after properly submitted redemptions in connection with a business combination. Underwriters received a 45-day option to purchase up to 1,500,000 additional units at the IPO price to cover over-allotments.

over-allotment option financial
"a 45-day option to purchase up to 1,500,000 additional units"
An over-allotment option is a special agreement that allows underwriters to sell more shares than initially planned if demand is high. Think of it like a retailer offering extra units of a popular product to meet additional customer interest. This option helps ensure the full sale is completed and can also give investors extra shares if they want more.
private placement units financial
"completed the private sale of an aggregate of 266,590 private placement units"
trust account financial
"$100,500,000 of the proceeds ... was placed in a U.S.-based trust account"
A trust account is a special bank or brokerage account where assets are held and managed by a designated person or firm (the trustee) for the benefit of another person or group (the beneficiary). It matters to investors because it separates assets from personal or corporate funds, can protect assets, control how and when money is used, and may affect tax or legal rights—think of it as a locked drawer opened only under agreed rules.
deferred underwriting commissions financial
"up to $4,000,000 in the aggregate of the Underwriter’s deferred underwriting commissions"
initial business combination financial
"upon the consummation of the Company’s initial business combination"
An initial business combination is the deal in which a special-purpose acquisition company (SPAC) merges with or acquires an operating business to bring that business onto public markets. Think of the SPAC as an empty shell that raises money from investors, then uses that cash to buy a private company—this transaction turns the private company into a public one and often changes its ownership, valuation, and access to capital, so investors should watch for shifts in risk, future growth prospects, and shareholder rights.
