Stardust Power set for Nasdaq delisting October 23

A hearing request would not stay the suspension, while possible OTC quotation, cost reductions and strategic alternatives remain under evaluation.

Rhea-AI Filing Summary

Stardust Power Inc. (SDST) said Nasdaq staff determined to suspend trading in its common stock and warrants and delist its securities at the opening of business on October 23, 2026. The determination followed a closing bid price of $0.10 or less for ten consecutive trading days as of October 14, 2026. Earlier notices gave the company until October 21, 2026 to regain compliance with the $35,000,000 market value requirement and until March 10, 2027 to regain compliance with the $1.00 minimum bid price requirement.

The company may request a hearing by 4:00 p.m. Eastern Time on October 23, 2026, but a timely request would not stay the suspension; a non-refundable $20,000 fee must be submitted within seven calendar days of the October 15 Staff Determination. The Board and management are evaluating possible over-the-counter quotation, expense reductions, possible suspension or termination of reporting obligations after delisting, and strategic alternatives including a sale or merger; none is assured. Chief Financial Officer Udaychandra Devasper's resignation is anticipated to take effect October 23, 2026.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Minimum Bid Price Requirement regulatory
"requirement of Nasdaq Listing Rule 5550(a)(2)"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Staff Delisting Determination regulatory
"issue a Staff Delisting Determination under Rule 5810"
A staff delisting determination is a formal finding by exchange or regulatory staff that a listed security no longer meets the rules required to stay listed, similar to an official notice that a rental property no longer qualifies for occupancy. It matters to investors because it often precedes removal from the exchange, which can sharply reduce a stock’s visibility, trading liquidity and value, and may trigger urgent choices like selling, appealing the decision or seeking alternative markets.
Form 25-NSE regulatory
"a Form 25-NSE will be filed with the Securities and Exchange Commission"
Form 25‑NSE is an official filing used to notify the stock exchange that a company’s securities are being removed from trading on that exchange, similar to handing in a key when a shop closes. Investors care because removal ends public trading on that venue, often cutting liquidity and making it harder to buy or sell shares, which can affect a stock’s price and how quickly investors can access cash or exit positions.
over-the-counter market market
"may seek to have its securities quoted on an over-the-counter market"
A market where securities are bought and sold directly between dealers and brokers instead of on a centralized stock exchange. Think of it like a neighborhood bazaar compared with a big supermarket: prices and rules can vary, oversight is lighter, and some instruments are harder to trade or riskier. Investors care because OTC listings can offer access to small or specialized investments but often come with higher price volatility, lower liquidity, and greater information risk.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed on April 30, 2026, Stardust Power Inc. (the “Company”) received a letter from The Nasdaq Stock Market LLC (“Nasdaq”) on April 24, 2026, notifying the Company that it no longer satisfied the minimum $35,000,000 market value of listed securities requirement set forth in Nasdaq Listing Rule 5550(b)(2), and the Company has until October 21, 2026 to regain compliance with that requirement.

Further, on September 11, 2026, the Company received a written notice from the Nasdaq Listing Qualifications Department (the “Staff”) notifying the Company that, based upon the closing bid price of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), for the last 30 consecutive business days, the Company no longer satisfied the requirement of Nasdaq Listing Rule 5550(a)(2) that listed securities maintain a minimum bid price of $1.00 per share (the “Minimum Bid Price Requirement”). In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company was provided a compliance period of 180 calendar days, or until March 10, 2027, to regain compliance with the Minimum Bid Price Requirement.

On October 15, 2026, the Company received a subsequent written notice (the “Staff Determination”) from the Staff indicating that it has determined that, as of October 14, 2026, the Company’s Common Stock had a closing bid price of $0.10 or less for ten consecutive trading days, triggering application of Nasdaq Listing Rule 5810(c)(3)(A)(iii), pursuant to which, if during any compliance period specified in Rule 5810(c)(3)(A), a company’s security has a closing bid price of $0.10 or less for ten consecutive trading days, the Listing Qualifications Department shall issue a Staff Delisting Determination under Rule 5810 with respect to that security. As a result, the Staff indicated that it has determined to suspend trading in the Company’s Common Stock and warrants and delist the Company’s securities at the opening of business on October 23, 2026, and that a Form 25-NSE will be filed with the Securities and Exchange Commission to remove the Company’s securities from listing and registration on The Nasdaq Stock Market.

The Company may request a hearing before the Nasdaq Hearings Panel (the “Panel”) to appeal the Staff Determination, pursuant to the procedures set forth in the Nasdaq Listing Rule 5800 Series. A hearing request must be received no later than 4:00 p.m. Eastern Time on October 23, 2026, and, pursuant to Nasdaq Listing Rule 5815(a)(3), a non-refundable hearing fee of $20,000 must be submitted within seven calendar days of the date of the Staff Determination. Pursuant to Nasdaq Listing Rule 5815(a)(1)(B)(ii)(e), a timely request for a hearing will not stay the trading suspension of the Company’s securities.

The Company is considering all available options; however, there can be no assurance that the Company would be successful in any appeal or that it will be able to regain compliance with Nasdaq’s listing requirements within the timeframe that may be provided by the Panel, or at all.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 14, 2026, Mr. Udaychandra Devasper notified the Company of his decision to resign as the Company’s Chief Financial Officer. Mr. Devasper’s resignation is anticipated to be effective as of October 23, 2026.

Item 8.01 Other Events.

The Board of Directors of the Company (the “Board”) and management are evaluating whether to request a hearing before the Panel, which will depend on, among other things, the Company’s ability to present an acceptable compliance plan, the costs of an appeal and the Company’s available resources. Because a hearing request will not stay the trading suspension, the Company may seek to have its securities quoted on an over-the-counter market. There can be no assurance that the Company will request a hearing, that any appeal would be successful, or that its securities will be eligible for over-the-counter quotation.

The Board and management are also exploring measures to preserve resources while the Company seeks to raise capital, which may include reducing operating expenses, including headcount, and, following any delisting, suspending or terminating the Company’s reporting obligations under Sections 13(a) and 15(d) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), to the extent permitted.

The Board and management will also consider other strategic alternatives, including a sale, a merger or other business combination. There can be no assurance that any of these measures or alternatives will be adopted or completed, or that the Company will be able to obtain financing on acceptable terms, or at all.
