Rhea-AI Filing Summary

Smithfield Foods, Inc. (SFD) entered into a senior unsecured delayed draw term loan agreement providing $600 million in aggregate commitments. The facility may be drawn once, subject to customary conditions precedent, through December 23, 2026, and any funded loan matures three years after funding.

Smithfield expects to use proceeds to redeem all outstanding 4.250% Senior Notes due 2027 on or after November 1, 2026; the redemption price is 100.000% of principal plus accrued and unpaid interest through redemption. The agreement is not a notice of redemption. Borrowing may be priced at Term SOFR (or Daily SOFR if Term SOFR is unavailable) or the alternate base rate, plus a rating-based spread.

The agreement requires a maximum debt-to-capitalization ratio of 50.0%, with an optional increase to 55.0% for the quarter of a Material Acquisition and the following three quarters, and an interest coverage ratio of at least 3.50 to 1.00.

Filing Explained

As of October 14, 2026, no subsidiary guaranteed the facility; domestic subsidiaries already guaranteeing or otherwise obligated on more than $150 million in aggregate principal of other Smithfield debt must also guarantee it, making subsidiary support conditional rather than in place at signing.

delayed draw term loan financial
"aggregate delayed draw term loan commitments"
A delayed draw term loan is a financing agreement that lets a borrower take one or more lump-sum loans from a lender at agreed future dates within a set time window instead of receiving all funds up front. It matters to investors because it changes when and how much debt a company will carry, affecting cash flexibility, interest costs and risk exposure—think of it like an approved credit line you only tap when you need cash for a project.
senior unsecured financial
"on a senior unsecured basis"
Senior unsecured is a type of loan or bond that has priority over other unsecured obligations for repayment if a company runs into financial trouble, but it is not backed by specific assets as collateral. Think of it as being near the front of a line to get paid, but without a pledged item to seize if the borrower defaults; that higher repayment priority typically makes it less risky than subordinated debt but more risky than secured debt, which influences the interest rate investors demand.
Term SOFR financial
"Term SOFR (or in the case of unavailability of Term SOFR, Daily SOFR)"
Term SOFR is a benchmark interest rate that reflects the cost of borrowing money over a specific period, based on actual transactions in the financial markets. It is used by lenders and borrowers to set the interest rates on loans and financial contracts, helping to ensure rates are fair and transparent. For investors, understanding term SOFR helps gauge borrowing costs and the overall direction of interest rates in the economy.
alternate base rate financial
"the alternate base rate plus, in each case, the applicable spread"
Material Acquisition financial
"in the event of a Material Acquisition"
consolidated interest expense coverage ratio financial
"a consolidated interest expense coverage ratio"
