Item 2.02 Results of Operations and Financial Condition
On November 6, 2025, Somnigroup International Inc. (the "Company") issued a press release to announce its financial results for the quarter ended September 30, 2025. Copies of the press release and the supplemental materials are attached as Exhibit 99.1 to this Current Report on Form 8-K and are incorporated herein by reference.

On November 6, 2025, the Company issued a press release to announce that its Board of Directors has declared a quarterly cash dividend of $0.15 per share. The dividend is payable on December 4, 2025, to shareholders of record as of November 20, 2025. A copy of the press release is attached as Exhibit 99.2 to this current report on Form 8-K and is incorporated herein by reference.
