Rhea-AI Filing Summary

Sigma Lithium Corporation signed an agreement letter to extend the maturity of its US$100 million in outstanding senior secured debt by six months, from December 2026 to June 2027. The interest rate remains SOFR + 6.95% per annum. The company said the extension lengthens 93% of its debt profile to June 2027; it also reported 7,090 tonnes of lithium oxide concentrate produced since operations restarted.

Sigma said it repaid more than US$90 million in debt over the past two years and maintains a target of 330,000 tonnes of annualized lithium oxide concentrate production by year-end 2027. It plans to resume its Phase 2 expansion in 2027, designed to bring annual capacity to 580,000 tonnes, and plans a Phase 3 expansion to increase capacity to 830,000 tonnes. The company expects to report third-quarter 2026 production, sales, realized prices, costs and cash by November 13, 2026.

Filing Explained

The maturity extension also leaves covenants and events of default similar to those in the original December 2022 debt agreement; the filing reports no change to that framework.

Outstanding senior secured debt US$100 million Debt covered by the maturity extension
Maturity extension Six months From December 2026 to June 2027
Interest rate SOFR + 6.95% per annum Rate on the senior secured facility, unchanged
Debt profile 93% The company said this portion of its debt profile was lengthened to June 2027
Lithium oxide concentrate produced 7,090 tonnes Since operations restarted, as reported in the release headline
Debt repaid More than US$90 million Over the past two years
Annualized production target 330,000 tonnes Lithium oxide concentrate target by year-end 2027
senior secured debt financial
"US$100 million in outstanding senior secured debt"
Senior secured debt is a loan or bond that has first claim on specific company assets if the company cannot meet its obligations; “senior” means it ranks ahead of other debts and “secured” means it is backed by collateral. Investors care because it usually carries lower risk and lower interest than unsecured debt: in a default holders of senior secured debt are likeliest to recover some money, so this status affects expected returns and safety compared with other claims.
SOFR financial
"SOFR + 6.95% p.a."
The Secured Overnight Financing Rate (SOFR) is a market benchmark that measures the cost of borrowing cash overnight using U.S. Treasury securities as collateral. Investors watch SOFR because it acts like a speedometer for short-term interest costs—affecting loan rates, bond yields and the pricing of interest-rate contracts—so movements change borrowing expenses, cash returns and the value of interest-sensitive investments.
maturity profile financial
"extending our maturity profile ahead of schedule"
The maturity profile is the schedule showing when a company’s debts and other time‑bound obligations come due, typically listing amounts by date or year. Think of it as a household’s calendar of bills—knowing what’s due when helps investors judge whether the company will have enough cash, face refinancing risk, or be forced to pay higher rates; it also reveals concentration of short‑term vs long‑term obligations.
nameplate capacity technical
"currently has a nameplate capacity to industrialize 330,000 tonnes"
Nameplate capacity is the maximum output a power plant, factory, or piece of equipment can produce under ideal conditions, as specified by the manufacturer. Investors care because it sets the upper limit on potential revenue and growth—actual earnings depend on how often and efficiently that capacity is used, similar to a car’s top speed versus how fast you actually drive in daily traffic.
events of default financial
"similar covenants and events of default as the original senior secured debt agreement"
Events of default are specific breaches or failures listed in a loan, bond, or credit agreement that give lenders the right to act, such as demanding immediate repayment, raising interest rates, or taking secured assets. They matter to investors because triggering one is like setting off a financial alarm: it raises the chance of foreclosure, restructuring, or bankruptcy and can sharply reduce the value of a company’s stock or bonds and increase borrowing costs.

HIGHLIGHTS

·Sigma Lithium extends the maturity of its 4-year US$100M senior secured debt with Synergy Capital by six months, from December 2026 to June 2027.
oThe interest rate on the senior secured facility remained unchanged at SOFR + 6.95% p.a., as did the covenants and events of default.

·The extension defers Sigma Lithium’s repayment by six months, enabling the Company to continue ramping up production and building operational cash flow before the new debt maturity date in June 2027.

•Since operations restarted on October 5, 2026, the Company has produced 7,090t of lithium oxide concentrate up to October 22 , 2026.

•Sigma Lithium maintains its target to scale its annualized production of lithium oxide concentrate to 330,000 tonnes by year-end 2027.
•The extension follows a reduction in total debt over the past two years:
oRepaid more than US$90M in debt since 2Q 24 through cash generation.
oReduced total debt by approximately 40% over the past two years, to US$125M as of October 21, 2026.

Toronto, October 23, 2026 – Sigma Lithium Corporation (NASDAQ: SGML) (ASX: SAU) (TSX-V: SGML) (BVMF: S2GM34), the largest industrial-mineral lithium oxide concentrate producer in the Americas¹, dedicated to supplying global battery producers with sustainable and traceable lithium materials and its subsidiary, Sigma Mineracao S.A. (“Sigma Lithium” or the “Company”) have signed an agreement letter to extend the maturity (“Extension Agreement”) of its US$100 million in outstanding senior secured debt with Synergy Capital (“Synergy”) by six months, from December 2026 to June 2027. The interest rate on the senior secured facility remained unchanged at SOFR + 6.95% p.a.

The extension defers the Company’s debt final repayment requirement in December 2026, as a result enabling Sigma Lithium to lengthen 93% of its debt profile to June 2027, enhancing its financial flexibility, supporting its execution plans.

The extension gives the Company time to ramp up production following the restart of operations:

oThe Company recommenced operations on October 5, 2026, after the Federal Superior Court granted a decision reinstating  all its environmental licenses.
oThe Company produced 7,090t of lithium oxide concentrate between October 5 and October 21, 2026.

Sigma Lithium maintains its target to scale its annualized production of lithium oxide concentrate to 330,000 tonnes by year-end 2027, supported by the Company’s existing industrial capacity at its Cleantech Industrial Plant and its recycling and reprocessing circuits (“Cleantech Industrial Plant”).

Sigma Lithium will report 3Q 26 production, sales, realized prices, costs and cash by November 13, 2026.

The extension follows a reduction in total debt over the past two years:

oRepaid more than US$90M in debt since 2Q 24 through cash generation.
oReduced total debt by approximately 40% over the past two years, to US$125M as of October 21, 2026.

The Extension Agreement maintains similar covenants and events of default as the original senior secured debt agreement dated December 2022.

Ana Cabral, Chief Executive Officer and Co-Chairperson of Sigma Lithium, stated: “We appreciate the constructive engagement and continued support of Synergy Capital extending our maturity profile ahead of schedule. The six-month extension provides additional time to continue ramping up production ahead of the new maturity date. We have produced more than 6,400 tonnes of high-grade lithium oxide concentrate in the two weeks since operations resumed as we continue to ramp up production.”

Ms. Cabral added, “Over the past two years, we have repaid more than US$90 million in debt. Together with our low costs and current lithium pricing levels, we expect to regain operational cash flow momentum. Thanks to the hard work of our teams and the trust of our stakeholders, our capital structure enhances our resilience and flexibility as we work toward our 2027 targets.”
