(b) On November 19, 2025, Lawrence H. Summers notified the Board of Directors (the “Board”) of Skillsoft Corp. (“Skillsoft” or the “Company”) of his resignation from the Board and all committees of the Board of which he is a member, effective immediately.

Dr. Summers has served on the Board since June 2021 and was a member of the Nominating and Governance Committee.

Dr. Summers’ resignation did not result from any disagreement with the Company or its management on any matter relating to the Company’s financials, operations, policies or practices.
