Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

SKYX Platforms Corp. completed its merger with Deako, Inc. on October 13, 2026, making Deako a wholly owned subsidiary. SKYX issued 25,000,000 common shares, held in escrow on behalf of Deako shareholders and certain senior lenders. Post-merger ownership is approximately 84.4% for SKYX’s current shareholders and 15.6% for Deako’s former shareholders. The shares are subject to a 12-month lock-up, with 25% released at each of 12, 15, 18 and 21 months after closing.

SKYX paid the senior lenders $4,000,000 on Deako’s behalf: $2,000,000 on September 9, 2026, and $2,000,000 at closing. It also delivered an $8,500,000 senior secured promissory note bearing 12.0% annual interest and secured by SKYX’s personal property. $2,250,000 of principal is due 120 days after closing, with the remaining amount due on the 12-month anniversary. The senior lenders agreed to sell the Merger Shares under a Rule 10b5-1 trading plan. Any remaining Merger Shares, if any, will be distributed to Deako’s pre-merger securityholders after the lenders receive sale proceeds and certain expenses, fees and indemnification claims are paid.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Rule 10b5-1 trading plan regulatory
"sell the Merger Shares pursuant to a Rule 10b5-1 trading plan"
A Rule 10b5-1 trading plan is a pre-arranged schedule that allows company insiders to buy or sell stock at specific times, even if they have inside information. It helps prevent accusations of unfair trading by making these transactions look planned and transparent, rather than sneaky or illegal.
senior secured promissory note financial
"delivered to the Senior Lenders a senior secured promissory note"
A senior secured promissory note is a written IOU in which a borrower promises to repay a loan and gives lenders first claim on specific assets if the borrower can't pay. Being "senior" means this debt gets paid before other unsecured obligations, and "secured" means assets back the loan, reducing potential losses for lenders. For investors, that priority and collateral typically make these notes safer and often carry lower interest than unsecured debt—think of being first in line with a pledge on the borrower's car.
escrow financial
"shares are being held in escrow on behalf of Deako’s shareholders"
A neutral third party holds money, documents, or assets until both sides in a transaction meet agreed conditions, like a safety deposit box that only opens when everyone fulfills the rules. For investors, escrow reduces risk and increases certainty by ensuring payments or shares are released only when contractual steps are completed, which affects deal timing, legal protection, and the likelihood that a transaction will close as planned.
Section 4(a)(2) regulatory
"exempt from registration pursuant to Section 4(a)(2)"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.
