EXPLANATORY NOTE

On May 11, 2026, Sonida Senior Living, Inc. (the “Company”) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the “Original Filing”) with respect to its results for the quarter ended March 31, 2026. The Company is filing this amendment to the Original Filing (this “Amendment”) solely for the purpose of correcting a typographical error with respect to an item number and heading. The Original Filing inadvertently included the heading “Item 8.01 Other Events.” The information previously furnished under that heading is now furnished under the heading “Item 7.01 Regulation FD Disclosure.” and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and is not incorporated by reference into any of the Company’s filings, whether made before or after the date hereof, regardless of any general incorporation language in any such filing.

The disclosure provided in the Original Filing otherwise remains unchanged and now appears under the item number described above. This Amendment hereby amends the Original Filing and, except solely for the Item change, no other amendments to the Original Filing are made hereby.
