On July 27, 2026, the Board of Directors (the “Board”) of Schneider National, Inc. (the “Company”) increased the number of directors on the Board from ten to eleven and appointed James S. Filter, the Company’s President and Chief Executive Officer, as a director, effective immediately. Mr. Filter will not serve on any committee of the Board.
There was no arrangement or understanding between Mr. Filter and any other persons pursuant to which Mr. Filter was nominated as a director. As of the date of this Current Report on Form 8-K, neither Mr. Filter nor any of his immediate family members is a party, either directly or indirectly, to any transactions that would be required to be disclosed pursuant to Item 404(a) of Regulation S-K. As a management director, Mr. Filter will not receive any additional compensation for his service on the Board.

On July 29, 2026, the Company announced that on July 27, 2026, the Board approved a quarterly cash dividend for the third quarter of 2026 in the amount of $0.10 per share to holders of the Company's Class A and Class B common stock. The dividend is payable to the Company's shareholders of record at the close of business on September 11, 2026 and is expected to be paid on October 9, 2026.
