Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 5, 2025, our Board of Directors (the “Board”) authorized an increase in the size of the Board to seven members and appointed Lynn Y. Graham to serve on the Board as an independent director. Ms. Graham will serve as a Class III director until the 2028 Annual Meeting of Stockholders or until her earlier death, resignation, or removal or until a successor is elected and qualified. Ms. Graham was also appointed to serve as a member of the Commercialization Committee of the Board.

There are no arrangements or understandings between Ms. Graham and any other person pursuant to which Ms. Graham was selected as a director. Ms. Graham is not party to any transaction subject to Item 404(a) of Regulation S-K under the Securities Exchange Act of 1934, as amended, involving our company.
