LLC and U.S. Bancorp Investments, Inc., as representatives of the several Underwriters named in Schedule I thereto (the “Underwriters”), covering the issue and sale of $1,300,000,000 aggregate principal amount of its Series 2026A 6.00% Fixed-to-Fixed Reset Rate Junior Subordinated Notes due April 1, 2058 (the “Series 2026A Junior Subordinated Notes”). The Series 2026A Junior Subordinated Notes were registered under the Securities Act of 1933, as amended, pursuant to the shelf registration statement (Registration No. 333-277138) of the Company.
