Rhea-AI Filing Summary

The Southern Company amended and restated its bylaws on October 20, 2026, effective immediately. Stockholders seeking a special meeting must own the defined Requisite Percentage on a net long basis and have held those shares for at least one year before delivering the request. Requests are invalid during the period from 90 calendar days before through 90 calendar days after the first anniversary of the preceding year's annual meeting. The revisions also update nomination and proposal procedures, require additional disclosures about securities plans and agreements, and reserve the white proxy card for the Board.

Annual-meeting notices for director nominations or other business must be submitted 90 to 120 days before the preceding year's meeting anniversary; the 2027 notice window is January 13 through February 12, 2027. Unless the Company consents in writing to an alternative forum, the bylaws designate the Delaware Court of Chancery for certain intracorporate matters and federal district courts for Securities Act complaints.

Filing Explained

The amended bylaws, effective October 20, 2026, clarify that matters other than director elections require a majority of votes properly cast, unless the charter, bylaws, exchange rules, or law set a different or minimum threshold.

Requisite Percentage technical
"own the Requisite Percentage"
net long basis technical
"own the Requisite Percentage of shares on a net long basis"
universal proxy rules regulatory
"reflecting the universal proxy rules"
Universal proxy rules require that when shareholders vote to elect directors in a contested election, the proxy card mailed to investors can include candidates nominated by both the company and dissident shareholders, letting investors mix and match their choices on a single ballot. This matters to investors because it makes their vote more flexible and easier to use, like replacing separate lists with one common ballot, which can influence who controls the board and the company’s future direction.
advance notice provisions regulatory
"under the advance notice provisions"
Advance notice provisions are rules in a company’s bylaws that require shareholders or potential board candidates to give written notice — by a set deadline — before proposing agenda items or nominating directors for a shareholder meeting. Like an RSVP and agenda deadline for a meeting, they help the company plan and prevent last-minute surprises; for investors, they shape the timing and feasibility of shareholder campaigns and influence how quickly governance changes can occur.

"shall be the sole and exclusive forum"

◦providing that a stockholder special meeting request will not be valid if, among other things, it is received during the period commencing 90 calendar days prior to the first anniversary of the date of the preceding year’s annual meeting and ending 90 calendar days after the first anniversary of the date of the preceding year’s annual meeting (instead of during the period commencing 90 calendar days prior to the first anniversary of the date of the immediately preceding annual meeting and ending on the date of the next annual meeting); and

◦requiring disclosure of (i) any plans or proposals which the stockholder making a nomination or submitting a proposal may have with respect to securities of the Company that would be required to be disclosed pursuant to Item 4 of Schedule 13D under the Exchange Act and (ii) any agreement, arrangement or understanding with respect to the proposed business or nomination between or among the stockholder making a nomination or submitting a proposal, and/or any other person, including, without limitation, any agreements that would be required to be disclosed pursuant to Item 5 or Item 6 of Schedule 13D under the Exchange Act;

◦clarifying that stockholders may nominate candidates for election to the Board at a special meeting of stockholders only if it has been determined by the Board or a stockholder who validly submitted a request to call a special meeting for the election of directors pursuant to the Amended and Restated By-Laws that directors shall be elected at such special meeting; and
◦reserving the white proxy card solely for use by the Board;
•clarify that a determination as to whether a proposal or nomination made by a stockholder was made in accordance with the applicable procedures of the Amended and Restated By-Laws will be made by the Board in advance of the meeting or by the presiding officer of the meeting during the meeting;
