Rhea-AI Filing Summary

Volato Group, Inc. (SOAR) is providing investors with a clearer view of its planned merger with M2i Global, Inc., a Nevada company focused on critical minerals supply chains. The company previously signed a Merger Agreement on July 28, 2025 under which a Volato subsidiary will merge into M2i Global, making M2i Global a wholly owned subsidiary, subject to stockholder approval and other customary closing conditions.

In this report, Volato files unaudited pro forma condensed combined financial information for the three fiscal quarters ended September 30, 2025 and for the year ended December 31, 2024 as Exhibit 99.1, illustrating how the combined company’s results might have looked if the merger had occurred earlier. The filing also includes extensive forward-looking statement disclosures and explains that a Form S-4 registration statement with a proxy statement/prospectus will be filed for stockholder voting on the proposed merger.

Insights

Company files unaudited pro forma financials for pending M2i Global merger, advancing process but without changing deal terms or status.

This 8-K centers on the pending merger of Volato Group, Inc. with M2i Global, Inc., where M2i Global will become a wholly owned subsidiary. The filing does not alter the previously announced Merger Agreement; it mainly supplies unaudited pro forma condensed combined financial information for the three quarters ended September 30, 2025 and the year ended December 31, 2024 as Exhibit 99.1. These pro formas are an accounting exercise showing how the combined company might look as if the merger had already occurred.

The merger remains subject to stockholder approval and other customary closing conditions, and a Form S-4 registration statement with a proxy statement/prospectus is planned. The filing highlights several risks around completion of the merger, ability to raise funding, ability to continue as a going concern, maintaining the NYSE American listing, and outcomes of legal proceedings, framing the forward-looking nature of the transaction. These points underscore that the merger is not assured and that future capital and listing status are important dependencies.

Key items to watch now are the effectiveness of the planned Form S-4, mailing of the definitive proxy statement to stockholders, and the subsequent stockholder vote on the M2i Global merger. The pro forma financials in Exhibit 99.1, together with the upcoming proxy statement/prospectus, will be central documents for assessing the combined entity once available, especially over the period through and after the stockholder meeting date.

Forward-looking statements are subject to a number of risks and uncertainties (some of which are beyond our control) that may cause actual results or performance to be materially different from those expressed or implied by such forward-looking statements. Accordingly, readers should not place undue reliance on any forward-looking statements. These risks include risks relating to agreements with third parties; the possibility that the proposed transactions do not close when expected or at all; our ability to raise funding in the future, as needed, and the terms of such funding, including potential dilution caused thereby; our ability to continue as a going concern; our ability to maintain the listing of our common stock on the NYSE American LLC; the outcome of any current legal proceedings or future legal proceedings that may be instituted against us; unanticipated difficulties or expenditures relating to our business plan; and those risks detailed in our most recent Annual Report on Form 10-K and subsequent reports filed with the SEC.
