Letter to shareholders
As many of you are aware, over the past year, Mobilewalla has been exploring options to help better fund the future growth of our business.
Following extensive research on our various options as well as internal discussions with our board and trusted advisors, we are announcing today that we will combine with a Nasdaq traded, special purpose acquisition company (commonly referred to as a SPAC) called SPACSphere Acquisition Corp. (SSAC).

Upon closing the proposed transaction, Mobilewalla is expected to become a publicly traded company, listed on Nasdaq under a new ticker symbol. The proposed transaction values Mobilewalla at a pro forma enterprise value of $250 million.
We considered various options for maximizing Mobilewalla’s shareholder value, and after considering these alternatives, we chose to pursue a SPAC process as it allows us to raise capital quickly while providing a streamlined path to becoming a public company and giving existing shareholders a path to achieve liquidity.
We believe this is a tremendous opportunity for our company and upon closing, we anticipate it will give us the platform of US national exchange and access to capital to execute on our future growth strategies. We would not be in this position without the hard work and support of our investors and employees, who have helped us build this company into what it is today.
