State Street Corporation is offering $500,000,000 of depositary shares, each representing a 1/100th interest in a share of its 6.350% Fixed Rate Reset Non-Cumulative Perpetual Preferred Stock, Series L, with a $100,000 liquidation preference per preferred share (equivalent to $1,000 per depositary share).
Dividends, when and if declared, are non-cumulative and payable quarterly at a fixed 6.350% rate to September 15, 2031, then reset every five years at the five-year U.S. Treasury rate plus 2.023%. The preferred has no maturity and is redeemable at State Street’s option on or after September 15, 2031, or earlier upon a regulatory capital treatment event, in each case at $100,000 per share plus any declared and unpaid dividends.
The depositary shares rank junior to all indebtedness and effectively to obligations of subsidiaries, and pari passu with existing preferred Series G, I, J and K. State Street expects net proceeds of about $495.7 million for general corporate purposes, while recent bank-level note offerings totaling $1.244 billion further support overall funding and capital structure.
