Rhea-AI Filing Summary

Supernus Pharmaceuticals, Inc. completed its merger with Indivior Pharmaceuticals, Inc. on November 2, 2026. Supernus Pharmaceuticals survived as Indivior’s wholly owned subsidiary, and Indivior was renamed Supernus, Inc. Each outstanding Supernus share, other than Excluded Shares, converted into the right to receive 1.5401 Indivior shares. Indivior’s pre-closing stockholders will receive a one-time special cash dividend of $1.0 billion in aggregate. Former Indivior and Supernus stockholders own approximately 56.5% and 43.5%, respectively, of the combined company on a fully diluted basis.

The combined company borrowed $650 million under a senior secured term loan at closing, with existing cash funding the balance of the dividend. The facility permits repayment in whole or in part without penalty or premium, subject to notice periods, and includes maximum leverage and minimum interest-coverage covenants. The combined company traded as INDV on November 2; trading under SUPN was expected to begin November 3, 2026. Its eight-member board includes four directors from each legacy company.

Filing Explained

The 650-million-dollar closing loan is secured by first-priority liens on substantially all loan-party property, putting those assets behind the debt.

At the November 2, 2026 closing, outstanding Supernus options and restricted-stock awards converted into awards tied to Indivior shares, shifting their potential share issuance to the combined company. Performance-based units became time-based restricted units, while the other stated terms and vesting conditions remained in place.

The facility is guaranteed by certain subsidiaries in the United States and United Kingdom, and its first-priority liens cover substantially all current and future tangible and intangible property of the loan parties, subject to exceptions. Until the first quarterly financial statements are delivered, the borrower may choose Term SOFR plus 2.25% or Base Rate plus 1.25%; afterward, the margins vary with total net leverage.

Exchange Ratio financial
"such ratio, the “Exchange Ratio”"
The exchange ratio is the number used to decide how many shares of one company you get for each share you own in another company during a merger or acquisition. It’s like a recipe that tells you how to swap shares fairly, ensuring both companies’ values are balanced. This ratio matters because it determines how ownership divides between the companies' shareholders.
Rollover RSU financial
"an award of restricted stock units of the Combined Company"
Term SOFR financial
"a rate based on Term SOFR plus 2.25%"
Term SOFR is a benchmark interest rate that reflects the cost of borrowing money over a specific period, based on actual transactions in the financial markets. It is used by lenders and borrowers to set the interest rates on loans and financial contracts, helping to ensure rates are fair and transparent. For investors, understanding term SOFR helps gauge borrowing costs and the overall direction of interest rates in the economy.
Total Net Leverage Ratio financial
"maximum Total Net Leverage Ratio"
Total net leverage ratio measures how much a company owes after using its cash, compared with the cash it generates in a year; it is usually calculated by subtracting cash from total debt and dividing that net debt by annual operating cash flow or earnings. Investors use it like a debt-to-income check for a household — a higher number means the company may struggle to cover obligations and is riskier, while a lower number suggests more cushion and financial flexibility.
Consolidated Interest Coverage Ratio financial
"minimum Consolidated Interest Coverage Ratio"
A consolidated interest coverage ratio measures how easily a company and all its subsidiaries can pay the interest on their debt from their operating profits. It divides the group’s operating profit (earnings before interest and taxes) by the interest expenses; a higher number is like having more months of income set aside to cover loan payments, which matters to investors because it signals financial stability and lower default risk.
