Rhea-AI Filing Summary

Standex International Corporation will appoint Samantha L. Stoddard Vice President, Chief Financial Officer and Treasurer effective December 1, 2026. She will become principal financial officer and report to Chairman, President and Chief Executive Officer David Dunbar. Ademir Sarcevic will then cease serving as CFO, Treasurer and principal financial officer while continuing as Executive Vice President–Corporate and Group President–Electronics.

Stoddard’s offer letter provides for a $575,000 annual salary and a target annual incentive of 75% of salary, with payments ranging from 0% to 200% of target; her fiscal 2027 incentive will be prorated. She is eligible for a fiscal 2027 long-term incentive award with a target value equal to 175% of salary. She will receive a $402,500 signing bonus and, on her start date, sign-on equity awards of $400,000 in restricted stock units and stock options valued at $1,006,250.

Filing Explained

For voluntary resignation or cause termination, the signing bonus is fully repayable before year one and half repayable from year one until before year two.

The offer makes Samantha L. Stoddard’s sign-on equity awards contingent on her planned December 1, 2026 start: the $400,000 restricted-stock-unit award vests in three equal annual installments, and the $1,006,250 option award in four annual installments. The restricted-stock-unit count is based on the closing price on that date; the options’ exercise price is 110% of that close and they expire on the tenth anniversary.

For fiscal 2027, she is eligible for a long-term incentive award comprising 50% time-based restricted stock units, vesting in three equal annual installments, and 50% performance share units. From 0% to 250% of the performance units may be earned over a three-year period based on committee-set metrics.

If she resigns voluntarily or is terminated for cause, the $402,500 signing bonus must be repaid in full if her employment ends before the first anniversary of her start date, or by half if it ends on or after the first anniversary but before the second.

annual incentive program financial
"participate in the Company’s annual incentive program"
Long-Term Incentive Plan financial
"award under the Company’s Long-Term Incentive Plan"
A long-term incentive plan is a company program that pays executives or employees with stock, options, or cash tied to multi-year performance goals, where the rewards become theirs only after meeting conditions over time. Think of it as a delayed bonus or retirement-style reward that aligns employees’ interests with shareholders by encouraging them to boost long-term value; investors watch these plans because they affect pay costs, share dilution and management incentives.
restricted stock units financial
"restricted stock units valued at $400,000"
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
performance share units financial
"50% performance share units"
Performance share units are a type of company stock award given to employees that depend on the company meeting specific goals or targets. If these goals are achieved, the employee receives shares or the value of shares; if not, they may receive little or no compensation. This aligns employees’ interests with the company's success and encourages performance that benefits investors.
