Rhea-AI Filing Summary

China SXT Pharmaceuticals, Inc. (SXTC) terminated in full, on October 21, 2026, purchasers’ additional purchase right under its October 8, 2026 registered direct offering. The right had allowed purchasers, during the 30-day period following closing, to acquire up to $12,000,000 of Securities on the same terms as the offering. The offering was for 8,000,000 Units at $1.50 per Unit; each Unit consisted of one Class A ordinary share or, in lieu, one pre-funded warrant, plus one ordinary warrant. The purchasers no longer have any right, claim or entitlement under the option. Other transaction-document provisions remain unchanged, and the termination does not affect Securities issued in the offering.

Additional purchase right Up to $12,000,000 of Securities Terminated on October 21, 2026; exercisable during the 30-day period following closing
Units in offering 8,000,000 Units October 8, 2026 registered direct offering
Purchase price $1.50 per Unit October 8, 2026 registered direct offering
Additional purchase period 30 days Following closing of the offering
registered direct offering financial
"in connection with a registered direct offering for the offer and sale"
A registered direct offering is a way for a company to sell new shares of its stock directly to select investors with regulatory approval. This method allows the company to raise funds quickly and efficiently without needing a public auction, similar to offering exclusive access to a limited number of buyers. For investors, it often provides an opportunity to purchase shares at a favorable price, while giving the company immediate access to capital.
Pre-Funded Warrant financial
"one pre-funded warrant to purchase one Class A Ordinary Share"
A pre-funded warrant is a financial instrument that gives the holder the right to buy shares of a company's stock at a set price, with most of the purchase cost already paid upfront. It functions like a nearly fully paid option, allowing investors to secure shares quickly while minimizing the amount of additional money they need to invest later. This helps investors gain ownership rights efficiently, often used to avoid certain regulatory restrictions or to prepare for future stock purchases.
Over-Allotment Option financial
"the Over-Allotment Option to acquire up to $12,000,000 of Securities"
An over-allotment option is a special agreement that allows underwriters to sell more shares than initially planned if demand is high. Think of it like a retailer offering extra units of a popular product to meet additional customer interest. This option helps ensure the full sale is completed and can also give investors extra shares if they want more.
