Rhea-AI Filing Summary

TCGX Acquisition Corp. agreed to combine with TriGemX Bio, Inc., with closing expected in the first quarter of 2027, subject to shareholder approvals and other conditions. At closing, PIPE investors would buy 16,000,000 shares of New TriGemX common stock at $10.00 per share for $160 million in gross proceeds, subject to subscription conditions. Assuming no TCGX public-shareholder redemptions, total gross proceeds are expected to be approximately $246 million, including approximately $86 million from TCGX’s trust; expected post-transaction equity value is approximately $600 million.

TriGemX stockholders would exchange their shares for New TriGemX stock and roll 100% of their equity, without cash proceeds; TCGX Class A shareholders may redeem shares for their pro rata portion of trust funds. TriGemX’s agreed pre-money equity value is $361 million; the exchange ratio is based on that value, a $10.00 per-share New TriGemX value and TriGemX’s fully diluted share count. TriGemX’s obligation to close also requires at least $150 million in Available Closing Cash. TriGemX stated that approximately $111 million in cash as of October 1, 2026, funds operations into Q3 2027. Before the merger, TCGX is to domesticate in Delaware and change its name to TriGemX Bio, Inc.

Filing Explained

The agreement adds shareholder-approved employee share capacity, including five percent of fully diluted closing shares, creating potential dilution without issuing those shares now.

The signed business-combination agreement remains subject to approvals and closing conditions; it also provides for a shareholder-approved employee share plan with future issuance capacity that could dilute existing holders.

The plan’s initial reserve includes 5% of fully diluted shares at closing, plus shares remaining under TriGemX’s existing plan and shares from assumed options later canceled, forfeited or expired without issuance.

This is reserved capacity, not shares already issued; issuing additional shares would increase the share count and reduce existing holders’ percentage ownership, absent offsetting changes.

Separately, the sponsor has agreed to cause up to 539,062 founder shares to be forfeited immediately before the merger takes effect if Available Closing Cash is below $161,000,000; that reduction is conditional, not completed.

After closing, specified sponsor, director, officer and TriGemX holders would face six-month transfer restrictions, while Jefferies’ restriction lasts 30 days; PIPE shares and shares bought on the open market after closing are excluded.

PIPE Financing financial
"for aggregate gross proceeds of $160,000,000 (the “PIPE Financing”)"
Pipe financing is a way for companies to raise money quickly by selling new shares or bonds directly to investors, often before their stock is publicly traded or in the early stages of a project. It’s similar to a company securing a loan from investors, providing quick capital needed for growth or operations. For investors, it can offer opportunities for early involvement and potentially higher returns, but it may also carry increased risk due to the immediate nature of the deal.
Available Closing Cash financial
"which includes the aggregate cash proceeds available for release from TCGX’s trust account"
Exchange Ratio financial
"based on the agreed pre-money equity value of TriGemX"
The exchange ratio is the number used to decide how many shares of one company you get for each share you own in another company during a merger or acquisition. It’s like a recipe that tells you how to swap shares fairly, ensuring both companies’ values are balanced. This ratio matters because it determines how ownership divides between the companies' shareholders.
Domestication regulatory
"transfer by way of continuation from the Cayman Islands to Delaware"
Domestication is the legal process by which a company changes its official ‘legal home’ from one place to another without creating a new business entity, similar to moving a household’s registration from one city to another while keeping the same people and possessions. It matters to investors because it can alter which laws, tax rules, reporting standards and shareholder rights apply, potentially affecting costs, governance and the value or liquidity of the company’s shares.
TRPM8 channel blocker medical
"an investigational, novel, oral, TRPM8 channel blocker under development"
A trpm8 channel blocker is a drug or compound that prevents the TRPM8 protein — a cell-surface ion channel that opens in response to cold temperatures and cooling chemicals like menthol — from conducting ions into sensory cells. By inhibiting the channel’s flow of sodium and calcium, these blockers reduce nerve-cell depolarization and the transmission of cold or cooling-related signals; they are developed as pharmacological tools or therapeutics for conditions involving abnormal cold sensation or TRPM8-mediated reflexes. Effects depend on a blocker’s selectivity for TRPM8 versus other ion channels and on how the compound is delivered (for example, topical versus systemic), because nonselective action or wide distribution can cause off-target effects.

Item 1.01

Entry into a Material Definitive Agreement.

On October 18, 2026, TCGX Acquisition Corp., a Cayman Islands exempted company (“TCGX”), TriGemX Merger Sub, Inc., a Delaware corporation and a direct, wholly-owned subsidiary of TCGX (“Merger Sub”), and TriGemX Bio, Inc. (formerly known as Kallyope, Inc.), a Delaware corporation (“TriGemX”), entered into a Business Combination Agreement (as it may be amended, supplemented or otherwise modified from time to time, the “Business Combination Agreement”). The Business Combination Agreement and the transactions contemplated thereby (the “Business Combination”) were approved by the boards of directors of each of TCGX and TriGemX. The Business Combination is expected to close in the first quarter of 2027, following the receipt of the requisite approvals of TCGX shareholders and TriGemX stockholders and the fulfillment of other customary closing conditions.

Business Combination Agreement

The Domestication

The Business Combination Agreement provides, among other things, that at least one business day prior to the closing of the Business Combination (the “Closing” and the date upon which the Closing actually occurs, the “Closing Date”), TCGX will deregister from the Register of Companies in the Cayman Islands and transfer by way of continuation from the Cayman Islands to Delaware and domesticate as a Delaware corporation in accordance with Section 388 of the General Corporation Law of the State of Delaware (the “DGCL”) and Part 12 of the Companies Act (Revised) of the Cayman Islands (the “Domestication”). In connection with the Domestication, (i) each outstanding Class A ordinary share of TCGX (each, a “TCGX Class A Share”), each outstanding Class B ordinary share of TCGX (each, a “TCGX Class B Share”) will be converted into one share of common stock, par value $0.0001 per share, of TCGX (the “New TriGemX Common Stock”), (ii) TCGX will file the New TriGemX COI with the Secretary of State of the State of Delaware and adopt the New TriGemX Bylaws (each, as defined and described below) and (iii) TCGX’s name will be changed to “TriGemX Bio, Inc.” (the resulting post-Closing entity, “New TriGemX”).

TCGX Shareholder Redemptions

TCGX will provide the holders of TCGX Class A Shares the right to have all or a portion of their TCGX Class A Shares redeemed for cash in connection with the Business Combination, in accordance with TCGX’s governing documents, for a per-share price equal to the pro rata portion of the funds then in TCGX’s trust account (including interest not previously released to pay taxes). Any such redemptions will occur immediately prior to the consummation of the Domestication.

The Merger

Subject to the terms and conditions of the Business Combination Agreement, following the Domestication, Merger Sub will merge with and into TriGemX, with TriGemX surviving the merger as a wholly-owned subsidiary of TCGX (the “Merger”). At the time the Merger becomes effective (the “Effective Time”), (i) each share of TriGemX common stock (collectively, “TriGemX Common Shares”) issued and outstanding as of immediately prior to the Effective Time (including such shares issued upon the conversion of all shares of TriGemX preferred stock into TriGemX Common Shares prior to the Effective Time in accordance with the terms of the Business Combination Agreement, but excluding TriGemX Common Shares held in treasury or by TriGemX stockholders who have properly demanded appraisal of such TriGemX Common Shares in accordance with Section 262 of the DGCL) will be automatically canceled and extinguished and converted into the right to receive a number of shares of New TriGemX Common Stock equal to an exchange ratio, which is based on the agreed pre-money equity value of TriGemX of $361,000,000, the agreed New TriGemX Common Stock value of $10.00 per share and TriGemX’s fully-diluted share count, as set forth in the Business Combination Agreement (the “Exchange Ratio”); and (ii) each option to purchase TriGemX Common Shares (each, a “TriGemX Option”), whether vested or unvested, will be assumed by TCGX and converted into an option to purchase New TriGemX Common Stock in an amount equal to the product (rounded down to the nearest whole number) of (x) the number of TriGemX Common Shares subject to such TriGemX Option immediately prior to the Effective Time, multiplied by (y) the Exchange Ratio, at an exercise price per share (rounded up to the nearest whole cent) equal to the quotient of (A) the exercise price per share of such TriGemX Option immediately prior to the Effective Time, divided by (B) the Exchange Ratio, and generally subject to the same terms and conditions (including applicable vesting, expiration and forfeiture provisions) that applied to the corresponding TriGemX Option immediately prior to the Effective Time.

Representations and Warranties; Covenants

The Business Combination Agreement contains representations, warranties and covenants of each of the parties thereto (the “Parties”) that are customary for transactions of this type, including with respect to the operations of TCGX and TriGemX prior to the Closing and the preparation and filing of a registration statement on Form S-4 relating to the Business Combination containing a prospectus and proxy statement of TCGX (the “Registration Statement / Proxy Statement”) with the Securities and Exchange Commission (the “SEC”). In addition, TCGX has agreed to adopt the New TriGemX Equity Incentive Plan and the New TriGemX Employee Stock Purchase Plan (as defined and described below) prior to the Closing, as described in the Business Combination Agreement.

Governance

TCGX has agreed to take all action within its power as may be necessary or appropriate such that, effective immediately after the Closing, the New TriGemX board of directors will initially consist of seven directors, which directors will include six designees of TriGemX, of which at least three will be independent under the applicable Nasdaq listing rules, and one designee of TCGX, with a majority of the directors qualifying as independent under the applicable Nasdaq listing rules.

Conditions to Closing

The obligations of each of TCGX and TriGemX to consummate the Business Combination are subject to certain closing conditions, including, but not limited to, (i) no legal restraint or prohibition issued by any governmental entity enjoining, prohibiting or preventing the consummation of the Business Combination being in effect, (ii) the effectiveness of the Registration Statement / Proxy Statement, (iii) receipt of the requisite approvals and consents of TCGX’s shareholders and TriGemX’s stockholders, and (iv) the approval for listing of the New TriGemX Common Stock (including, for the avoidance of doubt, the shares of New TriGemX Common Stock to be issued pursuant to the Merger) on Nasdaq.

The obligation of TCGX to consummate the Business Combination is also subject to the fulfillment of other customary closing conditions, including, but not limited to, there having been no Company Material Adverse Effect (as defined in the Business Combination Agreement) since the date of the Business Combination Agreement that is continuing.

The obligation of TriGemX to consummate the Business Combination is also subject to the fulfillment of other customary closing conditions, including, but not limited to, (i) there having been no TCGX Material Adverse Effect (as defined in the Business Combination Agreement) since the date of the Business Combination Agreement that is continuing, (ii) the Available Closing Cash (as defined in the Business Combination Agreement), which includes the aggregate cash proceeds available for release from TCGX’s trust account (after deducting any amounts paid to TCGX shareholders that exercise their redemption rights in connection with the Business Combination, but before payment of deferred underwriting commissions and transaction expenses), together with the proceeds from the PIPE Financing (as described below) and any Permitted Sponsor Subscriptions (as defined in the Business Combination Agreement), equaling at least $150,000,000, and (iii) the consummation of the Domestication.

Termination

The Business Combination Agreement may be terminated under certain customary and limited circumstances prior to the Closing, including, but not limited to, (i) by mutual written consent of TCGX and TriGemX, (ii) by TCGX if the representations and warranties of TriGemX are not true and correct or if TriGemX fails to perform any pre-closing covenant or agreement set forth in the Business Combination Agreement such that certain conditions to closing cannot be satisfied and the breach or breaches of such representations or warranties or the failure to perform such covenant or agreement, as applicable, are not cured or cannot be cured within certain specified time periods, (iii) by TriGemX if the representations and warranties of any TCGX Party (as defined in the Business Combination

Agreement) are not true and correct or if any TCGX Party fails to perform any covenant or agreement set forth in the Business Combination Agreement such that certain conditions to closing cannot be satisfied and the breach or breaches of such representations or warranties or the failure to perform such covenant or agreement, as applicable, are not cured or cannot be cured within certain specified time periods, (iv) subject to certain limited exceptions, by either TCGX or TriGemX if the Business Combination is not consummated by June 30, 2027, (v) by either TCGX or TriGemX if the requisite TCGX shareholder approvals are not obtained after the conclusion of the meeting at which TCGX’s shareholders voted on such matters, (vi) by either TCGX or TriGemX, if any governmental entity has issued a final and non-appealable order prohibiting the Business Combination, (vii) by TriGemX, prior to receipt of the requisite TCGX shareholder approvals, if the TCGX board of directors changes its recommendation in a manner adverse to TriGemX, and (viii) by TCGX if TriGemX’s stockholders do not deliver to TCGX a written consent approving the Business Combination within two business days following the date on which the Registration Statement / Proxy Statement is declared effective.

If the Business Combination Agreement is validly terminated, none of the Parties will have any liability (absent fraud or willful breach of the Business Combination Agreement prior to such termination) or any further obligation under the Business Combination Agreement other than customary confidentiality obligations and certain other provisions that expressly survive termination.

The foregoing description of the Business Combination Agreement and the Business Combination does not purport to be complete and is qualified in its entirety by the terms and conditions of the Business Combination Agreement and any related agreements. The Business Combination Agreement contains representations, warranties and covenants that the respective Parties made to each other as of the date of such agreement or other specific dates. The assertions embodied in those representations, warranties and covenants were made for purposes of the contract among the respective Parties and are subject to important qualifications and limitations agreed to by the Parties in connection with negotiating such agreement. TriGemX Bio and TCGX Acquisition Corp. Announce Business Combination Agreement to

Create Publicly Listed Company to Develop Elismetrep, A Potential First-in-Class Treatment for Migraine

Transaction Includes Concurrent $160 million Private Investment in Public Equity (PIPE)

Financing and Expected Gross Proceeds of Approximately $246 million

NEW YORK and PALO ALTO, CA – October 19, 2026 —TriGemX Bio, a biotechnology company focused on developing elismetrep, a potential first-in-class treatment for migraine, and TCGX Acquisition Corp. (Nasdaq: TCGX), a special purpose acquisition company (SPAC) sponsored by TCGX, today announced the execution of a definitive business combination agreement that will result in TriGemX Bio becoming a publicly traded company. The combined company will be named “TriGemX Bio, Inc.” (the “Combined Company”) and is expected to trade on Nasdaq under the new ticker symbol “TGEM”.

Upon closing, the Combined Company expects to receive approximately $246 million of total gross proceeds (prior to the payment of transaction costs and assuming no redemptions by TCGX Acquisition Corp.’s public shareholders). Proceeds will be funded through the approximately $86 million held in TCGX Acquisition Corp.’s trust account (assuming no redemptions by TCGX Acquisition Corp.’s public shareholders) and a concurrent $160 million PIPE financing of common stock at $10.00 per share from a group of premier healthcare investors, including TCGX, Viking Global Investors, ADAR1 Capital Management, BVF Partners, Samsara BioCapital, and Vianti Capital as well as other leading healthcare investors.

“This is an important day and financing for TriGemX,” said Jeff Goater, CEO of TriGemX Bio. “With the anticipated proceeds from this transaction, TriGemX will be positioned to fully fund the Phase 3 development of elismetrep and undertake key commercial readiness activities as we prepare for a potential U.S. launch. Elismetrep is our novel, potential first-in-class acute treatment for migraine. Migraine is one of the most common neurological diseases, and a meaningful percentage of affected patients do not achieve adequate relief from existing therapies. We believe elismetrep will be an important new treatment option for patients suffering with this disease.”

Chen Yu, Founder and Managing Partner of TCGX and CEO of TCGX Acquisition Corp., added, “We are thrilled to partner with the team at TriGemX. We established TCGX, motivated by the opportunity to support high-potential life sciences companies developing groundbreaking therapies, and TriGemX exemplifies that vision. We look forward to supporting the Company as it executes on its next phase of growth.”

Net proceeds from the transaction are expected to provide the Combined Company with the capital needed to:

  •

Complete the ongoing elismetrep Phase 3 clinical trials for the acute treatment of migraine and submit a New Drug Application (NDA) for this indication

  •

Complete a clinical trial of elismetrep in migraine prevention using a distinct dose and formulation

  •

Enable key commercial readiness activities as the Combined Company prepares for a potential U.S. launch

Assuming no redemptions by TCGX Acquisition Corp.’s public shareholders, the Combined Company is expected to have a post-transaction equity value of approximately $600 million at closing. TriGemX Bio shareholders will not receive any cash proceeds as part of the transaction and will roll 100% of their equity into the Combined Company.

The boards of directors of both TriGemX Bio and TCGX Acquisition Corp. have approved the proposed transaction, which is expected to be completed in the first quarter of 2027. The transaction is subject to, among other things, the approval of the shareholders of both TriGemX Bio and TCGX Acquisition Corp., and satisfaction or waiver of customary closing conditions set forth in the definitive business combination agreement.

Jefferies and TD Cowen acted as joint lead placement agents and Cantor and LifeSci Capital acted as placement agents in connection with the PIPE transaction. Jefferies and TD Cowen also acted as Capital Markets Advisors to TCGX. Cooley LLP acted as legal counsel to TriGemX Bio. Latham & Watkins LLP acted as legal counsel to TCGX. Ogier (Cayman) LLP acted as Cayman counsel to TriGemX Bio. Maples and Calder (Cayman) LLP acted as Cayman counsel to TCGX. Goodwin Procter LLP acted as legal counsel to Jefferies, TD Cowen, Cantor and LifeSci Capital.

Additional information about the transaction will be provided in a Current Report on Form 8-K to be filed with the SEC by TCGX Acquisition Corp. and will be available at the SEC’s website at www.sec.gov.

About Elismetrep

Elismetrep (K-304) is an investigational, novel, oral, TRPM8 channel blocker under development for the acute treatment of migraine. Specifically designed to block TRPM8 activity, elismetrep has been shown to be well-tolerated and to reduce migraine pain and associated symptoms in a Phase 2b trial. Phase 3 trials for elismetrep for the acute treatment of migraine are currently ongoing. Two pivotal studies (NCT07645924 and NCT07816367) and a long-term safety study (NCT07674654) are currently underway. Elismetrep is an investigational product and has not been approved by the FDA or any other regulatory agency. For more information, please visit clinicaltrials.gov.

About TriGemX Bio

TriGemX Bio is a biotechnology company focused on developing elismetrep, a potential first-in-class TRPM8 channel blocker for the treatment of migraine. The targeting of TRPM8 for the treatment of migraine is a direct result of TriGemX Bio’s unique insights into neural signaling pathways. The name “TriGemX” is a reference to the trigeminal ganglion, a migraine-relevant neural structure where TRPM8 is expressed. Elismetrep is currently in Phase 3 trials for the acute treatment of migraine, with results from the first Phase 3 trial anticipated in mid-2027. For more information visit www.tgemx.com.

If the Transaction is pursued, TriGemX and TCGX intend to file a registration statement (which will include a proxy statement/prospectus of TCGX) and other relevant documents with the Securities and Exchange Commission (the “SEC”), to be used at the meeting of shareholders to approve the Transaction and as the prospectus related to the offer of the securities to be issued by the combined company in connection with the Transaction and, after the registration statement is declared effective, TCGX will mail a definitive proxy statement/prospectus relating to the Transaction to its shareholders. Shareholders and other interested persons are urged to read the proxy statement/prospectus and any other relevant documents filed with the SEC in their entirety when they become available because they will contain important information about TriGemX, TCGX and the Transaction. Such registration statement may modify and supersede in its entirety any information in this Presentation, which is preliminary. Shareholders will be able to obtain a free copy of the proxy statement/prospectus (when filed), as well as other filings containing information about TriGemX, TCGX and the Transaction at the SEC’s website located at www.sec.gov. Risk Factors Risks Related to TriGemX’s Limited Operating History, Financial Condition and Need for Additional Capital TriGemX is a clinical-stage biopharmaceutical company with no history of commercializing products and has never generated any product revenues, which may make it difficult to evaluate the success of its business to date and to assess its future viability. TriGemX has incurred significant operating losses since inception and anticipates that it will continue to incur substantial operating losses for the foreseeable future and may never achieve or maintain profitability. TriGemX will require substantial additional financing in addition to the proceeds of this private placement and the business combination, including any funds remaining in the trust account at closing, to achieve its goals, and failure to obtain additional capital when needed, or on acceptable terms, could cause it to delay, limit, reduce or terminate its product development or future commercialization efforts. Raising additional capital may cause dilution to its shareholders, restrict its operations or require it to relinquish rights to its technologies, product candidates, intellectual property, or future revenue streams. Risks Related to the Design, Development, Approval and Commercialization of TriGemX’s Product Candidates TriGemX depends substantially on the success of elismetrep, its lead product candidate, which is in clinical development and has not completed a pivotal trial. If it does not obtain regulatory approval for and successfully commercialize one or more of its product candidates or experiences significant delays in doing so, it may never become profitable. Clinical trials are very expensive, time-consuming and difficult to design and implement and involve uncertain outcomes. Furthermore, results of earlier preclinical studies and clinical trials may not be predictive of results of future preclinical studies or clinical trials. Clinical trials may be delayed, suspended or terminated for many reasons, which could increase TriGemX's expenses and delay the time it takes to develop TriGemX's product candidates. The regulatory approval process of the FDA and comparable regulatory authorities in foreign jurisdictions is lengthy, time-consuming and unpredictable. TriGemX's product candidates may fail to demonstrate safety and efficacy in clinical trials, or may cause serious adverse or unacceptable side effects that could prevent or delay regulatory approval and commercialization, limit the commercial profile of an approved label, increase costs, necessitate the abandonment or limitation of the development of some of its product candidates or result in significant negative consequences following marketing approval, if any. If any of TriGemX's product candidates receives marketing approval and TriGemX, or others, later discover that the drug is less effective than previously believed or causes undesirable side effects that were not previously identified, its ability to market the drug could be compromised. TriGemX's clinical drug development program may not uncover all possible adverse events that patients who use its product candidates may experience. The number of subjects exposed to treatment and the average exposure time in the clinical development program may be inadequate to detect rare adverse events, or chance findings, that may only be detected once its product candidates are administered to more patients and for greater periods of time. TriGemX depends on enrollment of patients in its clinical trials for its product candidates. If it is unable to enroll patients in its clinical trials, its research and development efforts could be adversely affected. TriGemX may expend its limited resources to pursue a particular product candidate or indication and fail to capitalize on product candidates or indications that may be more profitable or for which there is a greater likelihood of success. TriGemX may become exposed to costly and damaging liability claims, either when testing its product candidates in the clinic or at the commercial stage, if ever reached, and its product liability insurance may not cover all damages from such claims. Negative outcomes or data integrity failures by competitors in the migraine space could adversely affect TriGemX's business, reputation, and the regulatory and commercial environment in which it operates. Competitive products may reduce or eliminate the commercial opportunity for TriGemX's product candidates for its current or future indications. If TriGemX's competitors develop technologies or product candidates more rapidly than it does, or their technologies or product candidates are more effective or safer than TriGemX's product candidates, its ability to develop and successfully commercialize its product candidates may be adversely affected. TriGemX has never commercialized a product candidate and may lack the necessary expertise, personnel and resources to successfully commercialize any of its product candidates that receive regulatory approval on its own or together with collaborators. The successful commercialization of TriGemX's product candidates, if approved, will depend in part on the extent to which governmental authorities and health insurers establish adequate coverage, reimbursement levels and pricing policies. Failure to obtain or maintain adequate coverage and reimbursement for its product candidates, if approved, could limit its ability to market those product candidates and decrease its ability to generate revenue. Even if any of TriGemX's product candidates receives marketing approval, it may fail to achieve the degree of market acceptance by physicians, patients, third-party payors and others in the medical community necessary for commercial success. TriGemX currently has no marketing, sales or distribution infrastructure. If it is unable to develop sales, marketing and distribution capabilities on its own or through collaborations, it will not be successful in commercializing its product candidates, if approved. TriGemX may incur substantial costs in developing, expanding and maintaining its infrastructure for commercialization of its product candidates, adversely affecting its ability to generate profits therefrom. If the FDA or comparable foreign regulatory authorities approve generic versions of any of TriGemX's product candidates that receive marketing approval, or such authorities do not grant its product candidates appropriate periods of exclusivity before approving generic versions of its products, the sales of its product candidates could be adversely affected. TriGemX's business, operational and financial goals may not be attainable if the market opportunities for its product candidates are smaller than it expects. Its internal research and third-party estimates may not accurately reflect the market opportunities for elismetrep or other product candidates today or in the future. Risks Related to TriGemX’s Dependence on Third Parties TriGemX relies on third parties to conduct its preclinical studies and clinical trials, and if these third parties perform in an unsatisfactory manner, TriGemX's business could be substantially harmed. TriGemX relies completely on third-party contractors to supply, manufacture and distribute clinical drug supplies for its product candidates, including certain sole-source suppliers and manufacturers; it expects to rely on third parties for supply, manufacturing and distribution of preclinical, clinical and commercial supplies of current and future product candidates. TriGemX, or third-party manufacturers on whom it relies, may be unable to successfully scale-up manufacturing of its product candidates in sufficient quality and quantity, or at acceptable prices, which would delay or prevent it from developing its product candidates and commercializing approved products, if any. TriGemX’s business also could be harmed if these third parties fail to meet applicable legal and regulatory requirements. TriGemX may in the future enter into collaborations with third parties to develop its product candidates. If these collaborations are not successful, its business could be harmed. If TriGemX is not able to establish or maintain collaborations, it may have to alter some of its future development and commercialization plans. TriGemX's reliance on third parties requires it to share its trade secrets, which increases the possibility that a competitor will discover them or that its trade secrets will be misappropriated or disclosed. Risks Related to Regulatory Compliance Even if TriGemX receives regulatory approval of its current or future product candidates, it will be subject to ongoing regulatory obligations and continued regulatory review, which may result in significant additional expense, and it may be subject to penalties if it fails to comply with regulatory requirements or experiences unanticipated problems with its product candidates. The FDA and other regulatory agencies actively enforce the laws and regulations prohibiting the promotion of off-label uses. Disruptions at the FDA and other government agencies caused by substantial changes in leadership, policies or priorities, funding shortages, staffing limitations or global health concerns could hinder their ability to hire, retain or deploy key leadership and other personnel, or otherwise prevent new or modified products from being developed, approved or commercialized in a timely manner or at all, which could materially and adversely impact TriGemX's business, financial condition, results of operations and prospects. Current and future healthcare reform legislation or regulation may increase the difficulty and cost for TriGemX to obtain coverage for and commercialize TriGemX's product candidates and may adversely affect the prices it may set. If TriGemX or its third-party manufacturers and suppliers fail to comply with environmental, health and safety laws and regulations, it could become subject to fines or penalties or incur costs that could have a material adverse effect on its business, financial condition, results of operations and prospects. TriGemX is subject to various U.S. federal, state and foreign healthcare laws and regulations, which could increase compliance costs, and its failure to comply with these laws and regulations could harm its reputation, subject it to significant fines and liability or otherwise adversely affect its business. Healthcare cost control initiatives, including healthcare legislative and regulatory reform measures, may have a material adverse effect on TriGemX’s business and results of operations. TriGemX is subject to stringent and evolving U.S. and foreign laws, regulations and rules, contractual obligations, industry standards, policies and other obligations related to data privacy and security. Its actual or perceived failure to comply with such obligations could lead to regulatory investigations or actions; litigation (including class claims) and mass arbitration demands; fines and penalties; disruptions of its business operations; reputational harm; loss of revenue or profits; and other adverse business consequences. TriGemX is subject to U.S. and certain foreign export and import controls, sanctions, embargoes, anti-corruption laws, and anti-money laundering laws and regulations. Compliance with these legal standards could impair its ability to compete in domestic and international markets. It can face criminal liability and other serious consequences for violations, which can harm its business. Risks Related to TriGemX’s Intellectual Property If TriGemX is unable to obtain and maintain patent protection for its technology and product candidates, or if the scope of the patent protection obtained is not sufficiently broad, it may not be able to compete effectively in its markets. TriGemX may not identify relevant third-party patents or may incorrectly interpret the relevance, scope or expiration of a third-party patent which might adversely affect its ability to develop and market its product candidates. Patent terms may be inadequate to protect TriGemX's competitive position with respect to its product candidates for an adequate amount of time. Intellectual property rights do not necessarily address all potential threats to TriGemX's business. Changes in patent laws or patent jurisprudence could diminish the value of patents in general, thereby impairing TriGemX's ability to protect its product candidates. Third parties may initiate legal proceedings alleging that TriGemX is infringing their intellectual property rights, the outcome of which would be uncertain and could have a negative impact on the success of its business. TriGemX may become involved in lawsuits to protect or enforce its patents or other intellectual property rights, or the patents or other intellectual property rights of its future licensors, which could be expensive, time-consuming, unsuccessful, and could distract TriGemX personnel from their normal responsibilities. TriGemX may become involved in proceedings challenging its patent rights, including opposition, derivation, reexamination, inter partes review, post-grant review, or interference proceedings, and the issuance of a patent does not automatically give TriGemX the right to practice the patented invention. TriGemX may not be able to protect its intellectual property rights throughout the world, which could negatively impact its business. TriGemX may be subject to claims that its employees, consultants or independent contractors have wrongfully used or disclosed confidential information of their former employers or other third parties. TriGemX may be subject to claims challenging the inventorship or ownership of its patents, patent applications, or other intellectual property, or its future licensors may be subject to similar claims. TriGemX may rely on third parties from whom it licenses or acquires proprietary technology to file and prosecute patent applications, maintain patents, or otherwise protect such intellectual property, and TriGemX has limited control over these activities. TriGemX may be unable to adequately protect its confidential information, trade secrets, and other proprietary rights, including through confidentiality, assignment, and license agreements, which may be breached or fail to provide adequate remedies, and any such failure could harm its business and competitive position. Obtaining and maintaining TriGemX's patent protection depends on compliance with various procedural, document submission, fee payment and other requirements imposed by governmental patent agencies, and its patent protection could be reduced or eliminated for non-compliance with these requirements. Risks Related to TriGemX’s Business Operations, Employee Matters and Managing Growth TriGemX's future growth and ability to compete depend on retaining its key personnel and recruiting additional qualified personnel. TriGemX's future growth depends, in part, on its ability to penetrate foreign markets, where it would be subject to additional regulatory burdens and other risks and uncertainties. Laws and regulations governing TriGemX's international operations may preclude it from developing, manufacturing and selling certain product candidates and products outside of the United States and require it to develop and implement costly compliance programs. TriGemX expects to expand its development and regulatory capabilities and potentially implement sales, marketing and distribution capabilities, and as a result, it may encounter difficulties in managing its growth, which could disrupt its operations. TriGemX's employees, independent contractors, consultants, commercial collaborators, principal investigators, CROs and vendors may engage in misconduct or other improper activities, including non-compliance with regulatory standards and requirements. TriGemX may be subject to securities litigation, which is expensive and could divert management attention. If TriGemX's information technology systems or those of third parties with whom it works or its data are or were compromised, it could experience adverse consequences resulting from such compromise, including regulatory investigations or actions, litigation, fines and penalties, disruptions of its business operations, reputational harm, loss of revenue or profits, and other adverse consequences. Business disruptions could seriously harm TriGemX's future revenue and financial condition and increase TriGemX's costs and expenses.

Risk Factors (Cont.) Risks Related to This Private Placement and the Combined Company’s Common Shares There has been no public market for the Combined Company's common shares prior to this offering, and an active market in the shares may not develop or be liquid enough for investors to resell those shares quickly or at the market price. The price of the Combined Company's common shares is likely to be volatile and may fluctuate due to factors beyond its control. If securities or industry analysts do not publish research, or publish inaccurate or unfavorable research, about the Combined Company's business, the price of its common shares and its trading volume could decline. The Combined Company will incur increased costs as a result of operating as a public company, and its management and board of directors will be required to devote substantial time to new compliance initiatives and corporate governance practices. Provisions in the Combined Company's corporate charter documents and under Delaware law could make an acquisition of the Combined Company, which may be beneficial to its stockholders, more difficult and may prevent attempts by its stockholders to replace or remove its current directors and members of management. The Combined Company's amended and restated certificate of incorporation will provide that the Court of Chancery of the State of Delaware and the federal district courts of the United States will be the exclusive forums for substantially all disputes between the Combined Company and its stockholders, which could limit the Combined Company’s stockholders’ ability to obtain a favorable judicial forum for disputes with it or its directors, officers or employees. Future sales of the Combined Company's common shares in the public market could cause its share price to fall. Because the Combined Company does not expect to pay dividends on its common shares in the foreseeable future, capital appreciation, if any, would be your sole source of gain. The Combined Company will have broad discretion in the use of the net proceeds from this private placement and may not use them effectively. The Combined Company will be an “emerging growth company” and a “smaller reporting company” and, as a result of the reduced disclosure and governance requirements applicable to emerging growth companies and smaller reporting companies, its common stock may be less attractive to investors. General Risks Related to the Combined Company’s Business If the Combined Company is unable to design and maintain effective internal control over financial reporting in the future, investors may lose confidence in the accuracy and completeness of its financial reports and the market price of its common stock may decline. The Combined Company's ability to use its net operating loss carryforwards and certain other tax attributes may be limited. Changes in tax laws or regulations may have a material adverse effect on the Combined Company's cash flow, business, financial condition, results of operations or prospects. Unfavorable global economic or political conditions could adversely affect the Combined Company's business, financial condition, results of operations or cash flows. The Combined Company's disclosure controls and procedures may not prevent or detect all errors or acts of fraud. Risks Related to a Potential Transaction Each of Company and a potential SPAC would incur significant transaction costs in connection with a de-SPAC transaction. The consummation of a de-SPAC transaction would be subject to a number of conditions, and if those conditions are not satisfied or waived, the associated business combination agreement would be terminated and the potential transaction might not be completed. A SPAC could waive one or more of the conditions to a de-SPAC transaction, resulting in the consummation of the transaction notwithstanding divergence from assumptions on which the transaction is initially evaluated and approved. The ability to successfully effect a de-SPAC transaction and operate the business thereafter will be largely dependent upon the efforts of certain key personnel. The loss of such key personnel could negatively impact TriGemX’s operations and financial results. There can be no assurance that TriGemX’s Common Stock will be approved for listing on a stock exchange or that TriGemX will be able to comply with the continued listing standards of a stock exchange. Legal proceedings in connection with a potential transaction, the outcomes of which would be uncertain, could delay or prevent the completion of a potential transaction. The future grant and exercise of registration rights could adversely affect the market price of TriGemX’s Common Stock following the consummation of a de-SPAC transaction. Significant redemptions by a SPAC’s public shareholders could require TriGemX to raise future financing following the consummation of a de-SPAC transaction and reduce the public float of its Common Stock. If a SPAC’s due diligence investigation of TriGemX’s business is inadequate and material risks are not uncovered, TriGemX’s stockholders following the consummation of a de-SPAC transaction could lose some or all of their investment. During the pre-closing period, TriGemX and a SPAC could be prohibited from entering into certain transactions that might otherwise be beneficial to Company, the SPAC or their respective stakeholders.

TRPM8 Channel Blockade With Elismetrep A Mechanistically Distinct and Novel Approach to Migraine TRPM8 encodes an ion channel. Among the most consistently and strongly associated loci in genetic studies1,2 Trigeminal TRPM8 expression is distinct from targets of other migraine therapeutics (genes encoding CGRP, PACAP, Serotonin Receptors 1D, 1F)3-5 Elismetrep may be targeting different neurons vs existing therapies Note: PK stands for pharmacokinetic profile. Chasman et al., Nat. Genetics, 2011. Hautakangas, H. et al., Nat. Genetics, 2022. TriGemX data. Bhuiyan, S. et al., Sci. Advances, 2024. Yang, L., et al., Neuron, 2022. Animal studies suggest potential for activity in a broad range of migraine attacks including in patients not served by triptans and gepants Elismetrep is an investigational, oral, potent, and highly selective TRPM8 channel blocker with a PK profile we believe is suited for the treatment of migraine TRPM8 not expressed in human vasculature, no hemodynamic effects observed with elismetrep. Triptans are vasoconstrictive, CGRP-targeted agents can exacerbate hypertension, trigger Raynaud’s phenomenon

In a 12-week Phase 2 study in a different patient population conducted by Mitsubishi Tanabe Pharma, daily dosing at 5 mg was generally well-tolerated; some patients remained on drug for up to 64 weeks Trial in Migraine Prevention: Potential Development Program Expansion Opportunity1 1.
