Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Alaunos Therapeutics, Inc. regained compliance with Nasdaq’s $2,500,000 Stockholders’ Equity Requirement for continued listing on The Nasdaq Capital Market. Nasdaq Staff confirmed compliance on October 22, 2026. Alaunos had said it believed the private placement financing completed on October 14, 2026, brought it back into compliance.

Nasdaq closed the matter, canceled the hearing scheduled for November 10, 2026, and stated that Alaunos common stock will continue to be listed and traded on The Nasdaq Capital Market. Alaunos said it may face delisting if it does not evidence compliance when it files its 2026 Form 10-K, and identified its ability to satisfy other Nasdaq listing requirements as a risk.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Stockholders’ Equity Requirement regulatory
"minimum of $2,500,000 in stockholders’ equity for continued listing"
A stockholders’ equity requirement is a minimum amount of net assets — assets minus liabilities — that a company must keep on its balance sheet to meet rules set by regulators, lenders or stock exchanges. Think of it as a required safety buffer or minimum bank balance that shows the company has enough of its own capital to absorb losses; falling below it can limit dividends, trigger covenants or risk sanctions, so investors watch it as a sign of financial health and compliance.
Nasdaq Listing Rule 5550(b)(1) regulatory
"not in compliance with Nasdaq Listing Rule 5550(b)(1)"
Nasdaq Hearings Panel regulatory
"requested a hearing before the Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

Item 8.01 Other Events.

As previously disclosed, on April 9, 2026, Alaunos Therapeutics, Inc. (the “Company”) received a written notice from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it was not in compliance with Nasdaq Listing Rule 5550(b)(1), which requires companies listed on The Nasdaq Capital Market to maintain a minimum of $2,500,000 in stockholders’ equity for continued listing (the “Stockholders’ Equity Requirement”). On October 5, 2026, the Company received a written notice from the Staff informing the Company that its securities were subject to delisting from Nasdaq due to its continued non-compliance with the Stockholders’ Equity Requirement unless the Company timely requested a hearing before the Nasdaq Hearings Panel (the “Panel”). The Company timely requested a hearing before the Panel, which was scheduled for November 10, 2026.

As further previously disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on October 21, 2026, the Company believed that, as a result of the completion on October 14, 2026 of its previously announced private placement financing, it had regained compliance with the Stockholders’ Equity Requirement.

On October 22, 2026, the Company received a letter from Nasdaq’s Office of General Counsel advising that the Staff has confirmed that the Company has regained compliance with the Stockholders’ Equity Requirement. As a result, Nasdaq has determined that this matter is now closed, the hearing before the Panel scheduled for November 10, 2026 has been cancelled, and the Company’s common stock will continue to be listed and traded on The Nasdaq Capital Market.
