Rhea-AI Filing Summary

Treasure Global Inc. (TGL) entered into a Brand Mastery & Market Development Consultancy Agreement with Pepe Cemerlang Marketing on October 15, 2026, for brand strategy, brand identity development, and marketing and growth execution. The engagement is non-exclusive. The total Service Fee is USD 2,000,000.00, subject to TGL’s reasonable satisfaction with the Deliverables, and is scheduled across three phases.

At TGL’s sole and absolute discretion, each milestone may be paid in cash, shares, or both. If shares are elected, the share count is based on TGL’s last closing price on The Nasdaq Stock Market on the trading day immediately preceding notice; shares would be issued within 15 days after the relevant payment date and restricted for six months from issuance. A cash election requires at least 14 days’ prior notice, and the cash component is payable within 14 days after the Consultant’s delivery invoice, subject to performance and TGL’s satisfaction with the Deliverables. The agreement has an 18-month term from October 15, 2026, and provides 30 calendar days of post-project support after the term, subject to full payment. Work Product and related intellectual property vest in TGL upon full payment.

Filing Explained

The agreement schedules $660,000 for payment upon signing, but Item 3.02 describes shares only as an option TGL may elect, so this filing does not disclose that the amount was paid or shares issued.

For investors it matters because it determines when previously locked-up shares can enter the market — like a release valve that can increase supply, affect share price, and signal insider intent.

At the Company’s sole and absolute discretion, each milestone may be paid by wire transfer in cash, by issuance of Shares to the Consultant or its nominee, or through a combination of cash and Shares. If Shares are used, the number of Shares will equal the relevant portion of the milestone divided by the last closing price of the Company’s common stock on The Nasdaq Stock Market on the trading day immediately preceding the Company’s notice of its election to pay in Shares. The Consultant is an independent contractor and may provide similar services to others so long as there is no conflict of interest; the Company may obtain similar services from third parties. Upon full payment of the Service Fee, the Work Product and related intellectual property vest in and are assigned to the Company, while the Consultant retains its pre-existing intellectual property and grants a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to any such intellectual property incorporated into the Work Product.
