Rhea-AI Filing Summary

TOMI Environmental Solutions reported first quarter 2026 results and outlined a non-binding plan to merge with Carbonium Core, Inc., a U.S. producer of nuclear-grade graphite. The LOI implies a $120 million enterprise valuation for Carbonium Core, which would become a wholly owned subsidiary of TOMI if the proposed transaction closes. Consideration would include TOMI common stock equal to 19.99% of shares outstanding before the merger and convertible preferred stock, and remains subject to due diligence, definitive agreements, and stockholder approval.

For Q1 2026, TOMI generated $1.65 million in revenue, up 5% year-over-year and 67% sequentially, driven by equipment and Custom Engineered System sales. Applicator sales rose 139% year-over-year and BIT solution demand continued to support recurring revenue. Gross profit was $0.83 million, or 50% of revenue, versus 60% a year earlier due to pricing discounts and product mix.

Total operating expenses declined 15% to $1.46 million, improving loss from operations to $(0.63) million. Net loss was $(0.81) million, compared with $(0.26) million a year ago; excluding a one-time Employee Retention Credit in 2025, the prior-year adjusted loss would have been about $(0.87) million, indicating underlying improvement. Operating cash flow turned positive at $0.30 million, and TOMI reported a $1.7 million sales backlog and a $4.3 million integration pipeline across 13 customers.

Positive

  • Improving core operations and cash flow: Q1 2026 revenue rose 5% year-over-year to $1.65 million, operating expenses fell 15% to $1.46 million, loss from operations narrowed to $(0.63) million, and operating cash flow turned positive at $0.30 million.
  • Potentially transformative Carbonium Core merger LOI: The non-binding letter of intent to acquire Carbonium Core at a $120 million implied enterprise valuation could significantly diversify TOMI into nuclear-grade graphite, if definitive agreements are executed and the transaction closes.

Negative

  • Continued losses and margin pressure: Q1 2026 net loss was $(0.81) million with gross margin down to about 50% of revenue from roughly 60% a year earlier due to pricing discounts and less favorable product mix.
  • High uncertainty around strategic transaction: The Carbonium Core merger remains at the LOI stage, is non-binding, and is contingent on due diligence, definitive agreements, and stockholder approval, so there is no assurance it will be completed.

Insights

Q1 shows operational progress while a non-binding Carbonium merger LOI adds high-upside but uncertain strategic optionality.

TOMI grew Q1 2026 revenue to $1.65 million, up 5% year-over-year and 67% sequentially, with strong equipment and CES demand. Applicator sales and BIT consumables support a recurring-revenue model, while operating expenses fell 15% to $1.46 million, improving loss from operations to $(0.63 million).

Despite better operations, gross margin compressed from roughly 60% to 50% as TOMI discounted equipment and shifted toward lower-margin products. Net loss was $(0.81 million), wider than 2025 due to a prior one-time credit, yet management’s adjusted view shows underlying improvement. Positive operating cash flow of $0.30 million and a $1.7 million backlog plus $4.3 million pipeline suggest visibility into near-term activity.

The LOI to merge with Carbonium Core values that business at $120 million and would diversify TOMI into nuclear-grade graphite tied to advanced reactors and AI data centers. However, the LOI is explicitly non-binding, subject to due diligence, definitive agreements, and stockholder approval, so the ultimate impact depends on whether a definitive deal is signed by May 30, 2026 and later closes on the described terms.

Q1 2026 revenue $1,654,227 Sales, net for the three months ended March 31, 2026; 5% year-over-year growth

Q1 2026 net loss $(810,645) Net loss for the three months ended March 31, 2026; $(0.04) per share basic and diluted
Operating expenses $1,458,041 Total operating expenses in Q1 2026, down 15% from $1,706,210 in Q1 2025

Carbonium Core implied enterprise value $120 million Enterprise valuation implied by the non-binding LOI to merge with Carbonium Core
Binary Ionization Technology technical
"a global provider of disinfection and decontamination essentials through its premier Binary Ionization Technology® (BIT™) platform"
Binary ionization technology is a method that uses controlled electrical charges to change or activate substances at a molecular level, often for purposes like sterilization or purification. For investors, it matters because innovations in this technology can lead to new products or processes that improve efficiency and safety, potentially creating new market opportunities and driving growth in related industries.
nuclear-grade graphite technical
"a U.S.-based producer of nuclear-grade graphite for advanced reactor technologies and AI data center infrastructure"
Nuclear-grade graphite is a very pure, specially manufactured form of carbon used inside certain types of nuclear reactors to slow neutrons and support reactor structures without introducing radioactive-contaminating impurities. Think of it as the high-grade, precision wood used to build a sensitive instrument: its consistency and low impurities matter for safety, performance and regulatory approval. Investors watch it because limited suppliers, long lead times and strict standards can affect reactor projects, costs and supply-chain risk.
letter of intent regulatory
"executed a non-binding letter of intent (the “LOI”) to merge with Carbonium Core, Inc."
A letter of intent is a document that shows an agreement in principle between parties to work towards a future deal or transaction. It outlines their intentions and key terms, acting like a roadmap before a formal contract is signed. For investors, it signals serious interest and helps clarify expectations early in the process.
Custom Engineered System technical
"driven by strong equipment and Custom Engineered System (CES) sales"
biocidal product authorization regulatory
"the UK Health and Safety Executive granted official regulatory authorization for the Company’s BIT Solution and SteraMist iHP products as biocidal products"
Convertible notes payable financial
"Convertible notes payable, net of discount of $204,301 and $222,624 at March 31, 2026 and December 31, 2025"
A convertible notes payable is a company loan recorded as debt that can later be exchanged for shares of the company instead of being repaid in cash. Investors care because it affects both the company’s obligations and ownership: it temporarily increases debt on the balance sheet but can dilute existing shareholders if converted, much like an IOU that can either be paid back or traded in for a slice of the business.
Revenue $1,654,227 +5% year-over-year
Gross profit $831,776 margin ~50% vs ~60% prior year
Loss from operations $(626,265) improved from $(754,465) prior year
Net loss $(810,645) vs $(255,593) including prior-year one-time credit
Guidance

Management highlights revenue growth, recurring BIT solution sales, cost reductions, and a growing integration pipeline, alongside a non-binding LOI to merge with Carbonium Core as key elements of its 2026 strategy.

FOR IMMEDIATE RELEASE

TOMI Environmental Solutions, Inc. Reports First Quarter 2026 Financial Results and Announces Transformative Letter of Intent to Merge with Carbonium Core, Inc.

Frederick, MD – May 8, 2026 – TOMI Environmental Solutions, Inc. (NASDAQ: TOMZ), a global provider of disinfection and decontamination essentials through its premier Binary Ionization Technology® (BIT™) platform, today announced financial results for the three months ended March 31, 2026, and provided an update on strategic initiatives. Most significantly, the Company recently announced a non-binding letter of intent to merge with Carbonium Core, Inc., a U.S.-based producer of nuclear-grade graphite for advanced reactor technologies and AI data center infrastructure, representing a transformative new chapter for TOMI.

Landmark Post-Quarter Development: Letter of Intent with Carbonium Core, Inc.

On April 30, 2026, the Company executed a non-binding letter of intent (the “LOI”) to merge with Carbonium Core, Inc. (“Carbonium Core”), a U.S.-based producer of nuclear-grade graphite for advanced reactor technologies. Carbonium Core will become a wholly owned subsidiary of TOMI upon closing of the proposed transaction (the “Proposed Transaction”).

·

Enterprise Valuation: The enterprise valuation of Carbonium Core implied by the LOI is $120 million, subject to further due diligence.

·

Consideration: In exchange for TOMI acquiring all issued and outstanding shares of Carbonium Core, Carbonium Core stockholders would receive (i) shares of TOMI common stock equal to 19.99% of the Company’s outstanding shares immediately prior to the merger, and (ii) shares of a newly created series of preferred stock convertible into TOMI common stock upon stockholder approval.

·

Strategic Rationale: The Proposed Transaction is intended to diversify TOMI’s business by combining a domestic platform in advanced graphite and lithium materials with the Company’s existing SteraMist® disinfection and decontamination business, including applications for autonomous vehicles (Robotaxis) and battery-operated aerial drones. Carbonium Core’s vertically integrated U.S. production model, including its exclusive purification technology developed in collaboration with Oak Ridge National Laboratory, targets a defensible position in a market dominated by foreign supply.

·

Market Opportunity: Nuclear-grade graphite is a specialty sub-segment of the global graphite market estimated at approximately $13 - $15 billion in 2026, with synthetic graphite, the most directly relevant category, estimated at approximately $8 - $9 billion. U.S. FEOC rules and federal support for advanced nuclear are accelerating demand for non-Chinese-origin graphite.

·

Timeline: Definitive agreements are expected to be signed on or before May 30, 2026, subject to due diligence and stockholder approval, with a 45-day exclusivity period in place.

The LOI is non-binding, and the Proposed Transaction is subject to execution of definitive agreements, completion of due diligence, and customary closing conditions including stockholder approval. There can be no assurance that the Proposed Transaction will be consummated on the terms described or at all.

1

First Quarter 2026 Highlights:

·

Revenue Growth: Revenue of $1,654,000 for Q1 2026 represents a 5% increase versus Q1 2025 and a 67% sequential increase over Q4 2025, driven by strong equipment and Custom Engineered System (CES) sales.

·

Applicator Sales Surge: Q1 2026 applicator sales exceeded total full-year 2025 applicator sales, representing a 139% year-over-year increase, reflecting growing adoption of our razor/blade consumable model and the expanding customer install base.

·

BIT™ Solution Momentum: BIT Solution sales grew 21% from 2024 to 2025 and are tracking above 2025 levels in Q1 2026, supporting the Company’s recurring revenue strategy and long-term profitability objectives.

·

Disciplined Cost Management: Total operating expenses declined 15% to $1,458,000 versus $1,706,000 in Q1 2025, reflecting disciplined cost reduction across general and administrative, selling, professional fees, and consulting expenses, while the Company preserved its commercial and technical capacity.

·

Improved Operating Cash Flow: Net cash provided by operating activities was $296,000 for Q1 2026, a $572,000 improvement over Q1 2025, reflecting improved working capital management and growth in deferred revenue from customer deposits.

·

Growing Integration Pipeline: Sales order backlog was $1.7 million as of March 31, 2026. Our integrated project pipeline, encompassing SIS, Hybrid, and CES projects, grew to approximately $4.3 million across 13 customers, up from approximately $3.0 million at year-end 2025.

Financial Results for the three months ended March 31, 2026, compared to March 31, 2025

·

Sales, net was $1,654,000 compared to $1,577,000 for the three months ended March 31, 2026 and 2025, respectively, a 5% increase. Product revenue increased $311,000 (31%), driven by higher equipment and CES-related sales. Service revenue decreased $234,000 (41%), reflecting the timing of decontamination project completions and service engagements in the period.

·

Gross profit was $832,000, or approximately 50% of revenue, for Q1 2026, compared to $952,000, or approximately 60% of revenue, for Q1 2025. The decrease in gross margin reflects strategic price discounts to drive equipment adoption and an unfavorable product mix shift toward lower-margin equipment sales. Management views these factors as temporary, as growth in recurring high-margin BIT Solution consumable and Applicator sales is expected to support margin recovery in future periods.

·

Total operating expenses were $1,458,000 for Q1 2026, a reduction of $248,000 or 15% compared to $1,706,000 in Q1 2025, reflecting lower general and administrative, selling, professional, and consulting costs.

·

Loss from operations was ($626,000) for Q1 2026, an improvement of $128,000 compared to ($754,000) for Q1 2025.

·

Net loss was ($811,000) or ($0.04) per basic and diluted share for Q1 2026, compared to net loss of ($256,000) or ($0.01) per basic and diluted share for Q1 2025. Q1 2025 net loss included a non-recurring Employee Retention Credit of $535,000 and related interest of $83,000. Excluding these one-time items, Q1 2025 adjusted net loss would have been approximately ($874,000), demonstrating meaningful year-over-year operating improvement in Q1 2026.

·

Sales order backlog was $1.7 million as of March 31, 2026, providing strong visibility into near-term revenue conversion.

FAQ

How did TOMI Environmental Solutions (TOMZ) perform in Q1 2026?

TOMI generated about $1.65 million in Q1 2026 revenue, up 5% year-over-year and 67% sequentially. Operating expenses fell 15% to $1.46 million, improving loss from operations to roughly $(0.63) million while net loss was $(0.81) million.

What is the proposed Carbonium Core merger mentioned by TOMZ?

TOMI signed a non-binding letter of intent on April 30, 2026 to merge with Carbonium Core, a nuclear-grade graphite producer. The LOI implies a $120 million enterprise valuation and would make Carbonium Core a wholly owned subsidiary if a definitive deal is executed and closes.

How would Carbonium Core shareholders be paid in the TOMZ merger?

Under the LOI, Carbonium Core stockholders would receive TOMI common stock equal to 19.99% of TOMI’s outstanding shares immediately before the merger, plus a new series of preferred stock convertible into TOMI common stock upon stockholder approval, as part of the consideration structure.

What drove TOMI Environmental’s revenue and margin changes in Q1 2026?

Revenue growth came from higher equipment and CES sales, with applicator revenue up 139% year-over-year. Gross margin fell to about 50% from 60%, mainly due to strategic price discounts to spur adoption and a product mix shift toward lower-margin equipment offerings.

What is TOMZ’s backlog and integration pipeline as of March 31, 2026?

TOMI reported a sales order backlog of $1.7 million as of March 31, 2026. Its integrated project pipeline, covering SIS, Hybrid, and CES projects, totaled approximately $4.3 million across 13 customers, indicating future potential revenue conversion.

Did TOMI Environmental generate positive cash flow in Q1 2026?

Yes. Net cash provided by operating activities was about $296,000 in Q1 2026. This represented a $572,000 improvement over Q1 2025 and reflected better working capital management and increased deferred revenue from customer deposits.

What regulatory and international expansion steps did TOMZ take recently?

TOMI received biocidal product authorizations for BIT Solution and SteraMist iHP in Great Britain, Northern Ireland, and the Netherlands, and formed a preferred partnership with Total Clean Air in Europe. It also expanded Canadian operations and added new customers in food safety and Latin America.
