Rhea-AI Filing Summary

Trinity Industries, Inc. (TRN), through its wholly owned indirect subsidiary Trinity Rail Leasing 2026 LLC (TRL-2026), entered into a term loan agreement and completed initial funding of $349.8 million on October 19, 2026. The proceeds were used solely to fund the acquisition of initial portfolio railcars and related operating leases and to pay related fees and expenses. The loan is secured by the Railcar Portfolio, and its obligations are solely those of TRL-2026.

TRL-2026 purchased the portfolio from Trinity Industries Leasing Company affiliates Trinity Rail Leasing Warehouse Trust and Trinity Rail Leasing 2019 LLC. Net sale proceeds repaid borrowings under the warehouse facility and redeemed in full the Series 2019-2 Secured Railcar Equipment Notes, which had $280.9 million outstanding at redemption. Loan terms include an additional $300.0 million accordion feature if certain approvals and conditions are met, maturity on October 19, 2031, and an interest rate of daily simple SOFR plus a 1.30% per annum facility margin.

Facility margin 1.30% per annum Added to daily simple SOFR
Notes outstanding at redemption $280.9 million Series 2019-2 Secured Railcar Equipment Notes

accordion feature financial
"an accordion feature for an additional $300.0 million"
An accordion feature is a clause in a loan or financing agreement that allows a company to expand the size of a credit line or the amount of securities available under the same contract without drafting a completely new deal. Like a suitcase that can be extended to hold more items, it gives a company quick flexibility to raise extra money, which can help fund growth but may increase debt or dilute existing shareholders—so investors watch it for changes in risk and ownership.
daily simple SOFR financial
"daily simple SOFR for such day"
Daily simple SOFR is a widely published short-term interest benchmark based on actual overnight secured borrowing costs in the U.S. Treasury repo market; the “daily simple” version means the single-day rate is applied directly to calculate interest for that day rather than being compounded over multiple days. Investors care because it sets the interest paid or earned on floating-rate loans, bonds and cash products, so small daily changes change cash flows, borrowing costs and valuations—think of it as the daily retail price that determines what you pay or receive for short-term money.
facility margin financial
"an applicable facility margin of 1.30% per annum"
secured warehouse credit facility financial
"repay borrowings under TRLWT’s secured warehouse credit facility"
Series 2019-2 Secured Railcar Equipment Notes financial
"redeem in full TRL-2019’s Series 2019-2 Secured Railcar Equipment Notes"

•an applicable interest rate of, for any day during any interest period, the sum of (i) daily simple SOFR for such day, plus (ii) an applicable facility margin of 1.30% per annum.
Obligations under the Loan Agreement are solely the obligations of TRL-2026 and may be declared due and payable upon the occurrence of certain customary events of default.
The description of the Loan Agreement set forth above is necessarily limited and is qualified in its entirety by reference to the full terms and conditions of the Loan Agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
