Every 424B that 21Shares Sui Staking ETF (TSUI) has filed with the SEC in the last 12 months is listed below, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A 424B covers the supplement that carries the terms of a priced offering, so if you follow TSUI and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full TSUI filings page.
21Shares Sui ETF (TSUI), now named the 21Shares Sui Staking ETF, updates its S-1 prospectus to reflect three main changes: a new pricing benchmark, revised fee payment timing, and the formal name change.
As of August 27, 2026, the Trust stopped using the CME CF Sui–Dollar Reference Rate – New York Variant and began using the FTSE Sui Index as its Pricing Benchmark for valuing SUI and calculating NAV. The new index is administered by FTSE International Limited, uses a 60‑minute observation window ending at 4:00 p.m. ET, and calculates a 15‑second volume‑weighted average price with trade‑ and exchange‑level outlier filters. The benchmark currently draws data from Kraken, Bitstamp, Bitfinex and Gemini and is subject to UK Benchmark Regulation oversight.
The Trust continues to charge a 0.30% annualized Sponsor Fee, but this fee, previously payable weekly in arrears in SUI, is now payable at least quarterly in arrears. The Trust remains a passive ETF seeking to track SUI as measured by the Pricing Benchmark (net of expenses) and to reflect staking rewards when the Sponsor determines staking can be undertaken without undue legal or regulatory risk, while avoiding leverage or derivatives.
21Shares Sui ETF (TSUI), now named 21Shares Sui Staking ETF, reports several structural updates. The Sponsor, 21Shares US LLC, entered a Benchmark Licensing Agreement with FTSE International Limited under which the Trust will use the FTSE Sui Index as its pricing benchmark. Beginning August 27, 2026, the Trust will value its shares and calculate net asset value by reference to this FTSE Sui Index, replacing the CME CF Sui-Dollar Reference Rate – New York Variant, whose prior licensing agreement is scheduled to terminate on August 31, 2026. The Trust also executed Amendment No. 1 to the Sponsor Agreement to change Sponsor Fee payments from weekly in arrears to at least quarterly in arrears, payable in SUI. In addition, a Certificate of Amendment changed the Trust’s name to 21Shares Sui Staking ETF, and a Second Amended and Restated Trust Agreement was adopted to reflect the new index, revised fee timing, updated name, and other ministerial and clarifying revisions that are stated not to materially impact the rights of the Trust or its shareholders.
21Shares Sui ETF tracks the price of SUI tokens with an additional focus on earning staking rewards. As of June 30, 2026, net assets were $12.64 million, or $13.89 per share on 910,000 shares outstanding, with approximately 94.75% of SUI staked.
During the quarter, the price of SUI declined from $0.88 to $0.70, driving a NAV decrease from $15.09 million to $12.64 million and a total return at NAV of (20.60)%. Staking Rewards were $46,205, offset by a 0.30% Sponsor Fee and a Staking Fee equal to 25% of net staking rewards, resulting in net investment income of $23,426. The Trust also paid cash distributions of $53,101 during the quarter.
Since initial seeding on November 18, 2025, SUI’s price fell from $1.69 to $0.70, and NAV per share declined from $33.72 to $13.89, a total return of (58.68)%. The Trust remains an emerging growth company, has no material legal proceedings, and plans to transition its pricing benchmark provider to FTSE in late August 2026 without expected impact on valuation methodology.
21Shares Sui ETF filed a prospectus supplement to include a Current Report on Form 8-K reporting that the Sponsor terminated its licensing agreement with CF Benchmarks Ltd., effective August 31, 2026.
The supplement states the Sponsor provided notice on June 30, 2026 and intends to enter a new licensing agreement with FTSE International Limited on or about August 24, 2026 to license FTSE index data for use in valuing and supporting the Trust.
21Shares Sui ETF filed its Quarterly Report on Form 10-Q and a prospectus supplement dated May 15, 2026 to include that Report. The Report discloses unaudited March 31, 2026 financials: net assets $15,092,444, NAV per share $17.55, and 790,000 shares outstanding as of May 11, 2026. The period from November 18, 2025 (initial seeding) through March 31, 2026 shows a net decrease in net assets of $(8,612,768) largely driven by an unrealized depreciation on its SUI holdings of $(8,365,012). The Trust held 17,213,810.1127 SUI tokens (fair value $15,093,069) and reported staking income of $22,491 for the period, net of a Sponsor Fee and Staking Fee. The filing also describes staking mechanics, Sponsor fee arrangements (0.30% annual Sponsor Fee) and the Sui Foundation one-year lock-up on 1,000,000 Shares.
