Rhea-AI Filing Summary

TTM Technologies, Inc. entered into a definitive agreement to acquire MKS Inc.’s Ophir Optics business for approximately $650 million in an all-cash transaction, subject to customary closing adjustments. The acquisition is expected to close in the second quarter of 2027, subject to customary closing conditions, including regulatory approvals and governmental consents and permits. It excludes MKS’s separately operated Ophir Instruments laser characterization business and does not include the sale of the Ophir brand.

TTM estimates a purchase multiple of roughly 10.3x expected FY 2027 Adjusted EBITDA for Ophir Optics, without synergies, and expects the transaction to be immediately accretive to Adjusted EBITDA margin and Non-GAAP diluted EPS. TTM says the acquisition, together with its previously announced $400 million Asia capital and capacity expansion, is expected to be funded through a combination of cash on hand, expected future cash flow and borrowings under its existing revolving credit facility. Ophir Optics makes high-precision infrared thermal imaging and laser optics solutions for defense, security and industrial applications, with operations in Israel and Romania.

Adjusted EBITDA financial
"roughly 10.3x expected FY 2027 Adjusted EBITDA"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Non-GAAP Diluted EPS financial
"immediately accretive to both TTM’s Adjusted EBITDA Margin and Non-GAAP Diluted EPS"
Non-GAAP diluted EPS (Earnings Per Share) is a measure of a company's profit allocated to each share of stock, calculated using adjusted earnings that exclude certain items like one-time expenses or gains. It provides a view of ongoing performance by removing irregular or non-recurring factors. Investors use it to better understand the company's core profitability and compare performance across different periods or companies.
customary closing conditions regulatory
"subject to customary closing conditions"
"Customary closing conditions" are standard rules or checks that must be met before a business deal can be finalized, like making sure all paperwork is in order or that certain approvals are obtained. They matter because they help protect both parties, ensuring everything is in place and reducing the risk of surprises or problems after the deal is closed.
revolving credit facility financial
"borrowings under TTM’s existing revolving credit facility"
A revolving credit facility is a type of loan that a business can borrow from whenever it needs money, up to a set limit. It’s like having a credit card for companies—allowing them to borrow, pay back, and borrow again as needed, providing flexibility for managing cash flow or funding short-term expenses.

Use of Non-GAAP Financial Measures

This release includes information about the Adjusted EBITDA of Ophir Optics, which is a non-GAAP financial measure. TTM presents non-GAAP financial information to enable investors to see TTM through the eyes of management and to provide better insight into TTM’s ongoing financial performance. A material limitation associated with the use of the above non-GAAP financial measures is that they have no standardized measurement prescribed by GAAP and may not be comparable to similar non-GAAP financial measures used by other companies. The non-GAAP financial measures should not be considered in isolation from, or as a substitute for, financial information prepared in accordance with GAAP.

With respect to the expected 2027 Adjusted EBITDA of Ophir Optics, we are unable to predict with reasonable certainty or without unreasonable effort certain items that may affect a comparable measure calculated and presented in accordance with GAAP. The expected 2027 Adjusted EBITDA of Ophir Optics excludes the future impact of reconciling items that are highly variable and difficult to predict due to various factors outside of management’s control and could have a material impact on future period net income of Ophir Optics calculated and presented in accordance with GAAP. Accordingly, reconciliations of expected Adjusted EBITDA of Ophir Optics to a comparable measure calculated and presented in accordance with GAAP has not been provided because TTM is unable to provide such reconciliation without unreasonable effort. For the same reasons, TTM is unable to address the probable significance of the information.
