(the “Company”) issued a press release announcing the commencement of a private offering exempt from registration under the Securities Act of 1933, as amended, of $500 million in aggregate principal amount of its senior notes due 2034 (the “Commencement Release”). A copy of the Commencement Release is furnished with this report as Exhibit 99.1 and is incorporated herein by reference.

Additionally, on September 10, 2026, the Company issued a press release (the “Pricing Release”) announcing the pricing of $500 million in aggregate principal amount of its 6.750% senior notes due 2034 (the “Notes”). The closing of the sale of the Notes is expected to occur on September 24, 2026, and is subject to customary closing conditions. A copy of the Pricing Release is furnished with this report as Exhibit 99.2 and is incorporated herein by reference.

(NASDAQ: TTMI) (“TTM”) announced today that it intends to offer, subject to market and other customary conditions, $500 million in aggregate principal amount of senior notes due 2034 (the “Notes”) in a private offering exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). The Notes will be senior unsecured obligations of TTM and will be guaranteed by TTM’s subsidiaries that guarantee its senior secured credit facilities, including its term loan B due 2030 and its revolving credit facility (the “Revolving Credit Facility”), subject to certain exceptions.
