How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

A non-cash technical-equipment impairment was one main reason quarterly other expense increased.

This Form 6-K reports Televisa's completed third-quarter results; it reports 306,125.3 million shares outstanding on September 30, 2026, below 311,114.8 million on December 31, 2025.

Other expense, net, was Ps.969.5 million in the quarter, compared with Ps.43.7 million a year earlier. The company says the increase mainly reflected a non-cash impairment loss on technical equipment in Enterprise operations, higher legal and financial advisory expenses, and no repeat of the prior-year insurance-claim recovery.

Operating segment income financial
"Operating segment income is defined as operating income before corporate expenses"
Operating Cash Flow financial
"OCF is defined as total OSI minus capital expenditures"
Operating cash flow is the amount of money a company earns from its main business activities, like selling products or services. It shows how well the company can generate cash to pay bills, invest in growth, or return money to shareholders. This figure helps investors understand if the company’s core operations are healthy and sustainable.
Revenue Generating Units financial
"Total Revenue Generating Units (“RGUs”) of 2.9 million"
Revenue generating units are the parts of a business that directly produce sales or income—this can be a product line, store, subscription account, machine, or any distinct activity that brings in money. Investors watch the number, size and performance of these units because they show where earnings come from and how scalable or stable the business is, much like counting working cash‑machines in a chain to gauge total cash flow potential.
FTTH technical
"fiber-to-the-home (“FTTH”)"
Fiber to the home (FTTH) is a broadband delivery method that runs optical fiber directly from a network to individual residences, replacing slower copper or wireless links. Like replacing a narrow water pipe with a wide one, it provides much faster, more reliable internet and supports higher data use. Investors care because FTTH requires large upfront investment but can create stable recurring revenue, long-term customer lock-in, and a competitive edge in regions with growing data demand.
non-recourse secured debt financing financial
"cash on hand and non-recourse secured debt financing"

Consolidated Results

Mexico City, October 29, 2026 — Grupo Televisa, S.A.B. (NYSE: TV; BMV: TLEVISA CPO; “Televisa” or “the Company”), today announced results for the third quarter of 2026. The results have been prepared in accordance with International Financial Reporting Standards (“IFRS Accounting Standards”).

Beginning in the fourth quarter of 2025, we present the operating results of our Cable and Sky businesses as a single reportable segment, Telecom, with three revenue categories: Residential, Satellite, and Enterprise. This change in segment reporting is a result of organizational changes that integrated the operations of our Cable and Sky businesses into a single business, and our senior management now analyzes the results of our operations, makes decisions, and assigns resources to it as a single business. Through September 30, 2025, the operating results of our Cable and Sky businesses were presented as separate reportable segments. As a result of this change in our segment reporting, the operations previously reported under our former Cable and Sky segments are now classified into a single reportable segment for any comparative period presented.

Operating segment income increased by 5.6%, with OSI margin increasing to 42.6% margin.

Income before income taxes decreased by Ps.162.9 million, or 14.9%, to Ps.933.5 million in the third quarter of 2026, compared with Ps.1,096.4 million in the third quarter of 2025.

These favorable variances were partially offset by (i) a Ps.322.0 million decrease in share of income in associates and joint ventures; and (ii) a Ps.925.8 million increase in other expense, net.

Revenues and Operating Segment Income

Third quarter segment revenues decreased by 3.8% to Ps.14,077.7 million compared with Ps.14,627.0 million in the third quarter of 2025. Our Residential Services revenues remained essentially flat year-on-year partly due to the phase out of revenue coming from World Cup subscription packages. Our Enterprise Services revenues increased by 6.8% mainly due to the signing of new projects with the public and private sectors. Finally, our Satellite Services revenues declined by 20.5%, driven by a year-on-year decrease in RGUs.

Third quarter operating segment income increased by 5.6% to Ps.5,996.0 million compared with Ps.5,677.1 million in the third quarter of 2025. The margin reached 42.6%, increasing by around 380 basis points year-on-year due to the efficiency measures and Opex reductions that have been implemented over the last several quarters.

The following table presents third-quarter consolidated results ended September 30, 2026 and 2025, for each of our revenue lines and our business segment. Consolidated results for the third quarter of 2026 and 2025 are presented in millions of Mexican pesos.

Corporate Expense

Corporate expense increased by Ps.65.2 million, to Ps.122.6 million in the third quarter of 2026, from Ps.57.4 million in the third quarter of 2025. The increase primarily reflected a higher share-based compensation expense, as well as an increase in other corporate expenses.

Share-based compensation expense in the third quarter of 2026 and 2025 amounted to Ps.99.1 million and Ps.72.3 million, respectively, and was accounted for as corporate expense. Share-based compensation expense is measured at fair value at the time the equity benefits are conditionally sold to officers and employees and is recognized over the vesting period.

Other Expense, Net

Other expense, net, increased by Ps.925.8 million, to Ps.969.5 million in the third quarter of 2026, from Ps.43.7 million in the third quarter of 2025. This increase reflected primarily (i) a non-recurring non-cash  impairment loss in the carrying amount of certain technical equipment in our Enterprise operations; (ii) an increase in expenses related to legal and financial advisory services; and (iii) the absence in the third quarter of 2026 of a non-recurrent income from an insurance claim recovery in the third quarter of 2025. These unfavorable variances were partially offset by (i) a favorable change in gain or loss on disposition of equipment; and (ii) a lower non-recurring severance expense in connection with headcount reductions.

Finance expense, net, decreased by Ps.407.0 million, to Ps.268.4 million in the third quarter of 2026, from Ps.675.4 million in the third quarter of 2025.

This decrease reflected:

(i)
a Ps.401.1 million decrease in interest expense, primarily in connection with a lower average principal amount of debt in the third quarter of 2026, and a gain on repurchase of a portion of our outstanding Senior Notes as described below; and
(ii)
a Ps.110.1 million increase in interest income, explained primarily by a higher average amount of cash equivalents and short-term investments in the third quarter of 2026, which was partially offset by lower interest rates applicable to our cash equivalents and short-term investments in Mexican pesos in the third quarter of 2026.

These favorable variances were partially offset by (i) a Ps.103.4 million decrease in foreign exchange gain, net, resulting primarily from a 3.2% depreciation of the Mexican peso against the U.S. dollar on an average U.S. dollar-denominated net asset position in the third quarter of 2026, compared with a 2.8% appreciation of the Mexican peso against the U.S. dollar on an average U.S. dollar-denominated net liability position in the third quarter of 2025; and (ii) a Ps.0.8 million increase in other finance expense, net, resulting from a higher loss in fair value of our derivative contracts in the third quarter of 2026.

Share of Income of Associates and Joint Ventures, Net

Share of income of associates and joint ventures, net, decreased by Ps.322.0 million, to Ps.521.0 million in the third quarter of 2026, from Ps.843.0 million in the third quarter of 2025. This decrease reflected primarily a lower share of income of TelevisaUnivision, Inc. (“TelevisaUnivision”) in the third quarter of 2026, which reflected primarily a decrease in net income of TelevisaUnivision in the third quarter of 2026.

Share of income of associates and joint ventures, net, in the third quarter of 2026, included primarily our share of income of TelevisaUnivision.

Income Taxes

Income taxes decreased by Ps.2,885.1 million, to Ps.123.0 million in the third quarter of 2026, from Ps.3,008.1 million in the third quarter of 2025. This decrease reflected mainly the absence in the third quarter of 2026 of non-cash write-offs of deferred income tax assets derived from capital tax losses that expired in 2025.

Net Income or Loss Attributable to Non-controlling Interests

Net income or loss attributable to non-controlling interests changed by Ps.93.0 million, to a net loss of Ps.72.2 million in the third quarter of 2026, from a net income of Ps.20.8 million in the third quarter of 2025. This change reflected primarily a net loss attributable to non-controlling interests in our Telecom operations in the third quarter of 2026

The non-current investments in financial instruments amounted to an aggregate of Ps.3,478.8 million as of September 30, 2026.

We paid for these repurchases cash amounts for an aggregate of Ps.187.1 million and U.S.$44.7 million (Ps.795.0 million), respectively, including related accrued interest of Ps.7.6 million and U.S.$0.9 million (Ps.16.2 million), respectively, and recognized a gain on these repurchases of Ps.365.9 million.

Transaction with AT&T

On October 13, 2026, we announced that a consortium owned 50% by each of the Company and Fintech Holdings Inc. (“Fintech” and, together with the Company, the “Consortium”) reached an agreement with AT&T, Inc. (“AT&T”) to acquire AT&T’s wireless telecommunications business in Mexico (“AT&T Mexico”) for a purchase price of U.S.$2 billion, subject to certain adjustments. The Consortium expects to finance the acquisition through a combination of cash on hand and non-recourse secured debt financing. We anticipate accounting for this acquisition as an investment in a joint venture by using the equity method, based on applicable IFRS Accounting Standards. The transaction is subject to customary closing conditions, including receipt of regulatory approvals, and is expected to close in the first quarter of 2027. By the closing date of this transaction, we expect to make a cash contribution for an estimated amount of U.S.$400.0 million in connection with the acquisition of a 50% interest in AT&T México.

Sustainability

In 2026, we continued integrating sustainability into our business strategy and management, with a focus on the identification, assessment, and management of financially material risks and opportunities.

During the third quarter, we published our sustainability and climate-related disclosures aligned with IFRS S1 and IFRS S2 standards. As part of a phased adoption approach, and in accordance with applicable transitional relief provisions, our disclosures focused on climate-related risks, opportunities, and metrics that we consider material to users of the financial statements. This exercise strengthened our governance, risk management, and climate metrics monitoring processes, while further integrating the effects of climate change into our enterprise risk management framework and reinforcing our commitment to transparency with investors and other stakeholders. In addition, we published our voluntary sustainability report, “One network across generations”. This report expands the information provided on our environmental, social, and governance initiatives, performance, and progress.

Finally, as part of our commitment to transparency and continuous improvement in environmental disclosure, during the year we completed our participation in the Carbon Disclosure Project (CDP) questionnaire. CDP is an international non-profit organization that operates one of the most widely recognized global environmental disclosure systems, enabling investors, companies, cities, states, and regions to manage and communicate their environmental impacts, risks, and opportunities.
