Texas Ventures Acquisition III Corp: a joint Schedule 13G/A was filed reporting beneficial ownership stakes held by First Trust entities. As of March 31, 2026, First Trust Merger Arbitrage Fund 2 owned 536,129 shares (2.38%), and First Trust Capital Management L.P./affiliates reported 644,953 shares (2.87%).
The filing states these Reporting Persons have sole voting and sole dispositive power over the reported shares and that the holdings represent ownership of 5% or less of the class.
First Trust-affiliated entities jointly report positions in the issuer: 536,129 shares (2.38%) held by VARBX and 644,953 shares (2.87%) held by FTCM/FTCS/Sub GP as of March 31, 2026. The filing records sole voting and dispositive power for the reported shares.
Cash-flow treatment and sale intentions are not included; subsequent filings would specify any transactional activity. Ownership percentages indicate passive reporting under Schedule 13G/A rather than an active >5% control position.
Disclosure clarifies voting and dispositive authority for institutional holders
The joint filing identifies the reporting structure and addresses control relationships: FTCS and Sub GP are described as control persons of FTCM but "do not own any Ordinary Shares for their own accounts." The statement explains that FTCM acts as adviser to Client Accounts and may be deemed beneficial owner of those account holdings.
This filing is informational and records holdings; it does not announce transactions or changes to governance terms.

4 terms
Schedule 13G/Aregulatory
"a joint Schedule 13G/A was filed reporting beneficial ownership stakes"
A Schedule 13G/A is an amended public filing with the U.S. securities regulator that updates a previous Schedule 13G, disclosing when an individual or group holds a substantial (typically over 5%) stake in a company and is claiming a passive, non‑controlling intent. Investors monitor these updates because rising or falling holdings can signal changing confidence, potential future moves, or shifts in voting power — like watching a public ledger where large shareholders quietly adjust their positions.
beneficial ownerregulatory
"may thus be deemed the beneficial owner of any shares of the Issuer's Ordinary Shares held in the Client Accounts"
A beneficial owner is the person who ultimately owns or controls a financial asset or property, even if their name isn't directly on official documents. Think of it like someone who secretly holds the keys to a safe deposit box—others may appear to have access, but the true owner is the one who benefits from what's inside. Identifying beneficial owners helps ensure transparency and prevent illegal activities like money laundering or fraud.
sole dispositive powerfinancial
"Sole Dispositive Power 536,129.00 for VARBX and 644,953.00 for FTCM"
Sole dispositive power is the exclusive legal authority to decide what happens to a security — for example, whether to sell, transfer, or retain shares — without needing anyone else’s permission. Investors care because it signals who truly controls the economic outcome of an investment: like holding the only key to a safe, the holder can realize gains or losses and may trigger regulatory reporting, insider rules, or influence over corporate ownership.
control personregulatory
"FTCS, a Delaware limited partnership and control person of FTCM"
A control person is an individual or entity that can significantly influence a company’s decisions and direction through ownership, voting power, or contractual rights—think of them as the captain who can steer the ship. Investors care because a control person’s choices affect corporate strategy, board appointments, and transactions that can raise or lower a stock’s value, and they often carry additional legal responsibilities and disclosure requirements to protect other shareholders.
What does the Schedule 13G/A say about First Trust's holdings in Texas Ventures (TVA)?
It reports that First Trust Merger Arbitrage Fund 2 owns 536,129 shares (2.38%) and that First Trust Capital Management and affiliates own 644,953 shares (2.87%) as of March 31, 2026. The filing notes sole voting and dispositive power.
Do the First Trust entities claim control of Texas Ventures in this filing?
No controlling claim is made; the filing describes advisory and control relationships among First Trust entities and states the holdings represent ownership of 5% or less of the class, consistent with passive reporting under Schedule 13G/A.
Who has voting and disposition authority for the reported shares?
The filing states that the Reporting Persons have sole power to vote and sole power to dispose of the reported shares: VARBX 536,129 and FTCM/affiliates 644,953, with no shared voting or dispositive power listed.
What is the filing date and the as-of date for the reported holdings?
The signatures on the amendment are dated May 15, 2026, and the beneficial ownership figures are reported as of March 31, 2026 for the listed First Trust accounts and affiliates.
