Rhea-AI Filing Summary

UFP Industries (UFPI) amended its existing $750 million revolving credit facility effective October 23, 2026, extending maturity to October 23, 2031. The amendment raises swingline-loan and letter-of-credit sublimits to $75 million each and limits foreign-currency borrowings to swingline loans made by JPMorgan Chase Bank as swingline lender. As of September 26, 2026, no cash borrowings and approximately $42 million of letters of credit were outstanding. At the company’s option, cash borrowings bear either the Alternate Base Rate plus 12.5 to 62.5 basis points or Adjusted Term SOFR plus 112.5 to 162.5 basis points; the facility fee is 12.5 to 25.0 basis points per annum, based on the adjusted leverage ratio and payable quarterly in arrears.

Separately, UFP Industries announced an agreement to acquire the operating assets, including real estate, of Apache Products, Inc. dba Acme Skid for approximately $27 million. The company says the transaction adds approximately $55 million in annual sales and 165 employees. Closing is expected on or around November 16, 2026, subject to customary closing conditions.

Filing Explained

Certain domestic subsidiaries reaffirmed their guarantees of the amended credit-agreement obligations, which remain secured by a pledge of part of the equity in certain foreign subsidiaries. The facility’s credit support therefore includes subsidiary guarantees and pledged subsidiary equity.

Letters of credit outstanding Approximately $42 million As of September 26, 2026
swingline loans financial
"swingline loans made by JPMorgan Chase Bank"
A swingline loan is a very short-term, on-demand loan that sits inside a larger credit facility to cover immediate cash needs like payroll, small bills, or last-minute payments. Think of it as an emergency overdraft from a lender: it’s quick to draw, repaid fast, and usually carries faster fees, so investors watch it as a signal of a company’s liquidity pressure and potential cost or covenant stress.
Alternate Base Rate financial
"Alternate Base Rate plus a margin"
Adjusted Term SOFR financial
"Adjusted Term SOFR plus a margin"
Adjusted term SOFR is a forward‑looking interest benchmark based on short‑term overnight Treasury repo rates, with a small extra amount added to reflect differences from legacy rates. Think of it as a quoted price that has been nudged to make payments comparable to older benchmarks; it matters to investors because it directly influences borrowing costs, bond yields and cash‑flow forecasts, affecting valuations and hedging outcomes.
facility fee financial
"charged a facility fee on the aggregate amount"
A facility fee is a charge billed by a hospital or clinic for use of its buildings, equipment and support services when a patient receives care, separate from the fee paid to the treating doctor. For investors, it matters because these charges are a steady revenue stream that can boost margins and cash flow, but they are also sensitive to changes in insurance reimbursement rules and regulatory scrutiny—think of it as a venue rental fee separate from the performer’s paycheck.

The Company is also charged a facility fee on the aggregate amount of the lending commitments at a per annum rate ranging from 12.5 to 25.0 basis points. The applicable margins and facility fee rate are determined based on the Company’s adjusted leverage ratio and are payable quarterly in arrears.

Certain domestic subsidiaries of the Company have reaffirmed their guarantees of the Company’s obligations under the Credit Agreement, as amended by the Fifth Amendment, and such obligations continue to be secured by a pledge of a portion of the equity interests of certain of the Company’s foreign subsidiaries.

The foregoing description of the Fifth Amendment is a summary of its material terms and is not intended to be a complete description of the agreement. The Company expects to file the Fifth Amendment as an exhibit to its Annual Report on Form 10-K for the year ending December 26, 2026.

UFP Industries Expands Pallet Manufacturing Network Through Acquisition of Apache Products

GRAND RAPIDS, Mich. — Oct. 26, 2026 — UFP Industries, Inc. (Nasdaq: UFPI) today announced the acquisition of the operating assets, including real estate, of Apache Products, Inc. dba Acme Skid, a pallet manufacturer based in Silsbee, Texas, for approximately $27 million. The transaction expands UFP Packaging's pallet manufacturing footprint and strengthens the company's ability to serve customers throughout the Gulf Coast, one of the country's largest industrial and petrochemical markets.

Apache Products designs and manufactures stringer and heat-treated pallets from its facility in Silsbee. The transaction adds approximately $55 million in annual sales and brings 165 employees into the UFP family. The addition strengthens a core business for UFP Industries and expands UFP Packaging's PalletOne network with immediate capacity and a strong platform for long-term growth.

“Apache is the kind of business we look for at UFP: an established market leader with long-standing customer relationships, a disciplined operation and an experienced team that has a proven track record of execution,” said Will Schwartz, chief executive officer of UFP Industries. “This acquisition tracks with our other investments this year—broadening our reach into a strategically important geography and creating opportunities to grow with our national customers across the region to create long-term value.”

The Apache facility will be integrated into UFP Packaging's existing pallet manufacturing network, creating opportunities to leverage UFP’s operational scale, national customer relationships and broader packaging platform while maintaining the local expertise and customer focus that have defined Apache's success.

“The Gulf Coast is one of the country's most important industrial packaging markets, driven by concentrated manufacturing, energy and petrochemical activity,” said Scott Worthington, president of UFP Packaging. “The team at Apache will expand our ability to support customers as they grow through greater efficiency, scale and access to a larger range of packaging solutions.”

The acquisition underscores UFP Industries’ continued focus on investing in core businesses, expanding manufacturing capacity to serve regional and national customers, and strengthening the competitive position of its operating companies across packaging and industrial markets. The transaction is expected to close on or around Nov. 16, 2026.

UFP Packaging is a leading provider of comprehensive industrial packaging solutions and the largest producer of wood pallets and crates in the United States. In addition to pallets, the company combines nationwide engineering and manufacturing expertise to develop custom, multi-material packaging systems that solve complex product protection and supply chain challenges. Its capabilities encompass structural and reusable metal packaging, custom and stock corrugated boxes, advanced printing and labeling, and other protective packaging solutions.
