Effective as of April 28, 2026, Richard Akright advised the Company that he was resigning from his position as Co-Chief Financial Officer of urban-gro, Inc. (the “Company”), with such resignation becoming effective on such date. Mr. Akright’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including accounting principles, practices and disclosures. Following Mr. Akright’s resignation, Eric Sherb, who has been serving as Co-Chief Financial Officer, will continue to serve as the Company’s Chief Financial Officer.
