Here are the 424B prospectus supplements from USBC, Inc. (USBC) in our archive over the last 12 months, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A 424B covers the supplement that carries the terms of a priced offering, so if you follow USBC and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full USBC filings page.
USBC, Inc. registered up to 357,815,000 shares of common stock for resale or other disposition by Goldeneye 1995 LLC or its transferees. USBC will receive no proceeds from those sales; Goldeneye received the shares under a June 5, 2025 purchase agreement. Common shares outstanding were 388,169,806 as of October 23, 2026.
USBC is developing a tokenized-deposit platform, with Vast Bank, N.A. as initial issuing bank and Uphold providing platform integration and customer access. Phase 1 technical-readiness testing with limited internal users was completed in June 2026. Phase 2 is intended to reach operational readiness for an initial commercial launch, subject to pilot results and required bank-board, regulatory and bank-partner approvals. USBC reasonably anticipates completing Phase 2 and initiating Phase 3 in the fourth quarter of 2026.
As of October 23, 2026, $21.0 million was outstanding under the Bitcoin-collateralized loan agreement, with $19.0 million of remaining borrowing capacity under the $40.0 million commitment. Borrowings bear interest at 8.5% per annum and mature on September 11, 2027. As of that date, a decline of approximately 29.5% in pledged Bitcoin collateral value, assuming no repayment or additional collateral posting, would have reduced the collateral coverage ratio to the 130% collateral call margin ratio.
