Rhea-AI Filing Summary

United Therapeutics reported third-quarter 2026 revenue of $832.5 million, up 4% from $799.5 million a year earlier, while net income fell 24% to $258.6 million and diluted earnings per share fell 20% to $5.71. Product sales were mixed: Tyvaso revenue rose 5% to $503.8 million, including Tyvaso DPI up 13% to $378.5 million, while Nebulized Tyvaso declined 12% to $125.3 million; Orenitram rose 11% to $145.0 million.

Research and development expense increased 119% to $279.2 million, primarily due to increased in-process research and development expense connected with the Thymmune asset acquisition and higher spending on manufactured-organ and cardiopulmonary projects. The company repurchased 980,394 shares during the quarter and held them as treasury stock as of September 30, 2026. Final settlement of the September 2026 accelerated share repurchase agreement is expected in the fourth quarter of 2026. Cash, cash equivalents and marketable investments totaled $3,535.7 million as of September 30, 2026. In October, the board approved a repurchase program authorizing up to $2.0 billion through October 21, 2027.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

The company says a reversal of a prior Sandoz litigation accrual reduced quarterly selling, general and administrative expense; it had agreed in October to settle the matter in connection with its Liquidia settlement, and the Sandoz matter was dismissed October 28, 2026.

"partially offset by higher gross-to-net deductions"

"three accelerated share repurchase agreements with Citi"
An accelerated share repurchase agreement is a contract where a company pays a bank to buy back a large block of its own shares immediately, while the final number of shares retired is settled later based on the stock’s average price. For investors, it matters because it quickly reduces the number of shares outstanding—often boosting earnings per share and signaling confidence—though the ultimate cost and share reduction can change with future market prices.
Rule 10b5-1 trading plan regulatory
"adopted a Rule 10b5-1 trading plan"
A Rule 10b5-1 trading plan is a pre-arranged schedule that allows company insiders to buy or sell stock at specific times, even if they have inside information. It helps prevent accusations of unfair trading by making these transactions look planned and transparent, rather than sneaky or illegal.
in-process research and development (IPR&D) financial
"costs to acquire certain in-process research and development (IPR&D) assets"
In-process research and development (IPR&D) is the value assigned to research projects a company buys from another firm that are not yet finished or approved. Think of it as purchasing a half-completed recipe that might become a bestseller or never work out; investors care because it represents future potential products and revenue but also carries risk of failure or one-time write-offs that can affect a company’s reported profits and valuation.

Total Tyvaso revenues increased by five percent to $503.8 million in the third quarter of 2026, as compared to $478.0 million in the third quarter of 2025, driven by growth in Tyvaso DPI revenues, partially offset by a decrease in Nebulized Tyvaso revenues. The growth in Tyvaso DPI revenues resulted primarily from an increase in quantities sold of $43.9 million and a price increase, partially offset by higher gross-to-net deductions. The decrease in Nebulized Tyvaso revenues resulted primarily from a decrease in U.S. quantities sold of $20.0 million, partially offset by a price increase. We believe the availability of competitive therapies negatively impacted sales of Nebulized Tyvaso, Tyvaso DPI, and Remodulin for the three months ended September 30, 2026. The growth in Orenitram revenues resulted primarily from an increase in quantities sold of $14.9 million and a price increase, partially offset by an increase in gross-to-net deductions.

Research and development, excluding share-based compensation. The increase in research and development expense for the three months ended September 30, 2026, as compared to the same period in 2025, was primarily due to: (1) an increase in IPR&D expense in connection with the acquisition of Thymmune Therapeutics, Inc. (Thymmune), which we accounted for as an asset acquisition; (2) an increase in expenditures related to manufactured organ and organ alternative projects; and (3) an increase in expenditures related to cardiopulmonary treatment projects.

General and administrative, excluding litigation accrual and share-based compensation. The increase in general and administrative expense for the three months ended September 30, 2026, as compared to the same period in 2025, was primarily due to: (1) an increase in personnel expense due to growth in headcount; (2) an increase in legal expenses related to litigation matters; and (3) an increase in consulting expenses.
Litigation accrual. The change in litigation accrual for the three months ended September 30, 2026, as compared to the same period in 2025, was primarily due to the reversal of a previously accrued liability related to the Sandoz litigation matter, which we agreed to settle in October 2026 in connection with our settlement with Liquidia Technologies, Inc. The Sandoz litigation matter was dismissed on October 28, 2026. See Note 12—Litigation to our consolidated financial statements included in our Quarterly Report on Form 10-Q for the quarter ended September 30, 2026.
Sales and marketing, excluding share-based compensation. The increase in sales and marketing expense for the three months ended September 30, 2026, as compared to the same period in 2025, was primarily due to an increase in personnel expense due to growth in headcount.

Interest income. Interest income was $33.7 million and $46.4 million for the three months ended September 30, 2026 and 2025, respectively. The decrease in interest income was primarily due to a decrease in marketable investments due to the sale of securities to fund our three accelerated share repurchase agreements with Citibank, N.A. (Citi): two agreements executed in March 2026 to repurchase approximately $1.5 billion of our common stock (the March 2026 ASRs) and one agreement executed in September 2026 to repurchase approximately $477.6 million of our common stock (the September 2026 ASR).

4

Other income, net. Other income, net was $34.2 million and $6.1 million for the three months ended September 30, 2026 and 2025, respectively. The increase in other income was primarily due to net realized and unrealized gains on equity securities.
Income tax expense. Income tax expense for the three months ended September 30, 2026 and 2025 was $114.2 million and $99.3 million, respectively. Our effective income tax rate (ETR) for the three months ended September 30, 2026 and 2025 was 31 percent and 23 percent, respectively. Our ETR for the three months ended September 30, 2026 increased compared to our ETR for the three months ended September 30, 2025, primarily due to nondeductible IPR&D expense related to the acquisition of Thymmune, which was capitalized for tax purposes into the basis of the stock acquired.
Share repurchases. In March 2026, our Board of Directors approved a share repurchase program authorizing up to $2.0 billion in aggregate repurchases of our common stock. In connection with the repurchase program, we entered into three accelerated share repurchase agreements with Citi: the March 2026 ASRs and the September 2026 ASR. During the three months ended September 30, 2026, we received an additional 215,948 shares of our common stock upon final settlement of the second of the March 2026 ASRs and received an initial delivery of 719,376 shares of our common stock under the September 2026 ASR. The final settlement of the September 2026 ASR is expected to occur in the fourth quarter of 2026.
During the three months ended September 30, 2026, we adopted a Rule 10b5-1 trading plan and repurchased 45,070 shares of our common stock at an aggregate cost of $22.4 million under this share repurchase authorization. The September 2026 ASR utilized the remaining $477.6 million of the share repurchase program authorization, and no amount remained available under the share repurchase program authorized by our Board in March 2026.
During the three months ended September 30, 2026, we repurchased a total of 980,394 shares of our common stock that we currently hold as treasury stock in our consolidated balance sheets as of September 30, 2026.
In October 2026, our Board of Directors approved a share repurchase program authorizing up to $2.0 billion in aggregate repurchases of our common stock through October 21, 2027.
