On July 6, 2026, Versant Media Group, Inc. (“Versant”) issued a press release announcing that it entered into a stock purchase agreement with Full Swing Golf Holdings, Inc., a Delaware corporation (the “Company”) and FSG MidCo, LLC, a Delaware limited liability company (the “Seller”), pursuant to which, among other things, the Company agreed to acquire all of the equity interests of the Company from the Seller for an aggregate purchase price of $530,000,000, subject to customary adjustments (the “Transaction”).

The Transaction is expected to close in the second half of 2026, subject to the satisfaction or waiver of customary closing conditions. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
