Rhea-AI Filing Summary

Vistra Corp. completed the Cogentrix generation-portfolio acquisition through its indirect wholly owned subsidiary, Vistra Operations Company LLC, which acquired 100% of Q-Generation, LLC from Q-Generation Holdings, LLC. Hamilton Holdings II, LLC survived a merger as a wholly owned subsidiary of Q-Generation, LLC. Vistra acquired 100% ownership of 10 natural gas facilities totaling 5,496 MW across PJM, ISO New England and ERCOT; its generation portfolio now totals nearly 50,000 MW.

Consideration included approximately $2.2 billion in cash, net of adjustments for working capital, acquired cash, the assumption of approximately $1.7 billion in debt and other adjustments, plus 5,000,000 Vistra shares issued to Q-Generation Holdings at a mutually agreed value of $185 per share. Vistra assumed approximately $1.7 billion of outstanding debt. On November 2, 2026, Vistra notified lenders of its intent to repay the two credit agreements in full and expects to repay all term and revolving loans on or about November 5, 2026. Q-Generation Holdings agreed not to transfer the shares from the Closing Date through January 30, 2027, subject to exceptions.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

combined-cycle combustion turbine technical
"adding efficient combined-cycle combustion turbine and cogeneration assets"
A combined-cycle combustion turbine is a power plant setup that pairs a gas-fueled turbine with a steam turbine so waste heat from the first machine is captured and turned into extra electricity, like using the exhaust from one engine to run a second. For investors, it matters because this two-stage design boosts fuel efficiency, lowers operating cost per megawatt and often reduces emissions compared with simple gas turbines, affecting profitability, capacity and regulatory risk.
cogeneration technical
"adding efficient combined-cycle combustion turbine and cogeneration assets"
Cogeneration, also called combined heat and power (CHP), is a way to produce electricity and useful heat at the same time from a single fuel source. Like getting both a hot shower and a charged phone from one power outlet, it uses energy more efficiently than producing power and heat separately, cutting fuel costs, emissions, and reliance on external utilities—factors that can improve operating margins, cash flow stability, and regulatory incentives for investors.
revolving loans financial
"all term loans and revolving loans under the credit agreements"
A revolving loan is a credit line that lets a borrower draw, repay and draw again up to a set limit for a specified period, much like a business credit card. It matters to investors because it provides short-term cash flexibility and affects a company’s financial health — higher reliance on revolving loans can raise borrowing costs, increase repayment risk if cash dries up, and signal how easily the company can fund operations without issuing new stock.
Section 4(a)(2) regulatory
"exemption from registration requirements provided by Section 4(a)(2) of the Securities Act"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.

Vistra Completes Acquisition of Cogentrix Energy, Expanding Diverse Generation Fleet

Approximately 5,500 megawatts of modern natural gas capacity in key markets enhance company's ability to meet customer needs

IRVING, Texas, Oct. 30, 2026 — Vistra Corp. (NYSE: VST) today announced it has completed the acquisition of Cogentrix Energy, consisting of 10 modern natural gas generation facilities totaling approximately 5,500 MW of capacity, from funds managed by Quantum Capital Group. The transaction closing follows receipt of all required regulatory approvals. Combined with Vistra’s existing fleet, the additional assets bring Vistra’s generation portfolio to nearly 50,000 MW of capacity across the U.S.

With this acquisition, Vistra further expands its diverse generation portfolio, adding efficient combined-cycle combustion turbine and cogeneration assets in some of the most attractive and fastest-growing power regions in the country: PJM, ISO New England, and ERCOT. The closing builds on Vistra's track record of completing and integrating large acquisitions, including Energy Harbor in March 2024, which added approximately 4,000 MW of nuclear generation, and seven natural gas plants from Lotus Infrastructure Partners in October 2025, which added more than 2,300 MW of capacity to Vistra’s current fleet.

“Natural gas plays a critical role in meeting our nation’s growing energy needs, and the Cogentrix assets are a strong strategic fit for Vistra as we continue to grow our generation portfolio,” said Jim Burke, president and chief executive officer of Vistra. “We’re excited to bring these experienced teams together around a shared commitment to safety, operational excellence, and reliability. Our Vistra team knows how to successfully integrate generation assets into our fleet, and we look forward to building on Cogentrix’s strengths and delivering long-term value for our stakeholders.”
