Rhea-AI Filing Summary

Westinghouse Air Brake Technologies Corporation (WAB) completed a public offering and sale of $500 million aggregate principal amount of 5.900% Senior Notes due 2037 on November 4, 2026. The notes mature on February 25, 2037, pay interest semiannually on February 25 and August 25 beginning February 25, 2027, and rank equally in right of payment with WAB’s other senior unsecured indebtedness. Qualifying current and future subsidiaries guarantee payments jointly and severally on an unsecured basis.

WAB intends to use the net proceeds, together with borrowings under its revolving credit facilities or short-term facilities and/or proceeds from issuances under its commercial paper program, to repay its outstanding 3.45% Senior Notes due 2026 at maturity on November 15, 2026. The notes may be redeemed before November 25, 2036 at a make-whole premium, and on or after that date at 100% of principal plus accrued and unpaid interest. A change-of-control triggering event requires an offer to purchase at 101% of principal plus accrued and unpaid interest. The notes are effectively subordinated to secured debt and structurally subordinated to liabilities of subsidiaries that do not guarantee them.

make-whole premium financial
"by paying a “make-whole” premium"
A make-whole premium is an extra payment a borrower must give bondholders when repaying debt early to compensate them for lost future interest; think of it as a lump-sum “catch-up” to leave lenders financially where they would have been if the loan had run its full term. It matters to investors because it affects how much they receive on early redemption and influences a company’s decision to refinance or repay debt, altering bond value and expected returns.
Par Call Date financial
"Par Call Date means November 25, 2036"
The par call date is the specific time when a company can choose to pay back a bond or debt in full at its original value, known as the face amount or par value. It matters to investors because it indicates when the issuer might repay the debt early, potentially affecting investment plans or expected income. Think of it like a fixed date when a loan can be fully settled, giving investors clarity on when they might get their money back.
effectively subordinated financial
"effectively subordinated to the Company’s existing and future secured indebtedness"
Debt or claims that are not legally listed as lower priority but, in practice, will be paid after other creditors because of the company’s structure or secured claims. Think of it like standing behind people who are already in line: even if your ticket says you’re next, the way the lines are organized means others get served first, so your chance of getting paid in a default is reduced accordingly.
structurally subordinated financial
"structurally subordinated to any existing and future indebtedness"
A claim or security is structurally subordinated when it sits lower in the legal repayment order because it is issued by a subsidiary rather than the parent company, so its holders are paid only after the parent’s creditors and any creditors of the subsidiary’s parent entities are satisfied. Imagine a line for repayment: structurally subordinated investors stand further back in line, which affects the likelihood and amount they might recover if the company or group faces financial trouble. This matters to investors because it usually implies higher risk and can influence expected return, liquidity, and credit pricing.
change of control triggering event financial
"If a change of control triggering event occurs"
A change of control triggering event is a corporate transaction or shift—such as a merger, sale of a majority of shares, or a new party gaining board control—that automatically activates specific contractual rights or penalties. Investors care because these triggers can accelerate debt repayment, alter executive compensation, terminate agreements, or prompt buyouts, and those outcomes can materially affect a company’s value, cash flow and stock price like a sudden change in who runs or owns a household.
