business acquisition financial
"the transaction constitutes a business acquisition and not an entity acquisition"
deferred consideration financial
"The purchase consideration includes a deferred consideration in the form of earnout"
Deferred consideration is part of a purchase price in a business deal that is paid after the initial transaction, often only if agreed future targets or conditions are met. It matters to investors because it changes when cash actually leaves or enters a company, shifts risk between buyer and seller, and can affect future reported profits and liabilities — like part of a sale price kept as an IOU tied to future performance.
earnout financial
"deferred consideration in the form of earnout, payable subject to achievement of certain performance metrics"
An earnout is a financial agreement in which part of the purchase price for a business is paid later, based on the company's future performance. It acts like a bonus system, where sellers earn extra money if the business hits certain goals, aligning their interests with the buyer’s success. Investors pay attention to earnouts because they influence the total deal value and can affect the company's future financial health.
