Rhea-AI Filing Summary

Willdan Group, Inc. (WLDN) completed its acquisition of all equity interests in Mantis Intermediate Holdings, LLC for approximately $285 million, subject to customary post-closing adjustments. The acquisition closed after the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired and customary closing conditions were satisfied.

Willdan Energy Solutions, Inc., a wholly owned subsidiary, acquired Mantis, which provides building controls, energy efficiency, energy advisory and facility management solutions to commercial and industrial customers. Willdan funded the purchase price using $35.0 million borrowed under its existing Revolving Credit Facility and $250.0 million borrowed under a new term loan facility. Proceeds from the new term loan also covered related fees and expenses, including repayment of certain Mantis indebtedness. The new facility matures on May 5, 2030, and has interest rates and customary covenants identical to those applicable to the existing credit facilities. Willdan said it would provide transaction details and updated financial guidance during its third-quarter earnings call scheduled for November 5, 2026.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

The filing says Willdan will provide the acquired business’s required financial statements and pro forma information in a later 8-K amendment; those figures are not included here.

Item 1.01 Entry into a Material Definitive Agreement Business
The company signed a significant contract such as a merger agreement, credit facility, or major partnership.
Item 2.01 Completion of Acquisition or Disposition of Assets Financial
The company completed a significant acquisition or sale of business assets.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement Financial
The company incurred a new significant debt or off-balance-sheet obligation.
Item 7.01 Regulation FD Disclosure Disclosure
Material non-public information disclosed under Regulation Fair Disclosure, often investor presentations or guidance.
Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
Acquisition purchase price Approximately $285 million Mantis acquisition; subject to customary post-closing adjustments
Existing Revolving Credit Facility borrowing $35.0 million Borrowed in connection with the acquisition
New Term Loan Facility borrowing $250.0 million Borrowed in connection with the acquisition
New Term Loan Facility size Up to $250.0 million Added by the credit agreement amendment to finance the transaction and related fees and expenses
New Term Loan Facility maturity May 5, 2030 Maturity date stated in the credit agreement amendment
post-closing adjustments financial
"subject to certain customary post-closing adjustments"
Amounts added to or subtracted from a transaction’s final purchase price after a deal closes to reflect the buyer’s and seller’s actual financial picture at the handover — for example final cash on hand, outstanding debts, or inventory levels. Think of it like checking the utility bills and meter readings after moving out of a rented house and adjusting the final bill accordingly. Investors care because these adjustments change the real cash exchanged, affect reported earnings and balance sheets, and can alter the expected return or risk of an investment.
New Term Loan Facility financial
"add an additional up to $250.0 million term loan facility"
delayed draw term loan facility financial
"up to a $50.0 million delayed draw term loan facility"
A delayed draw term loan facility is a committed loan that a borrower can tap in one or more installments at specified future times after meeting agreed conditions, rather than receiving the full amount upfront. For investors it matters because it provides a ready source of cash that can change a company’s financial strength, leverage and interest costs when drawn—similar to having a reserved credit line you can use later, which affects liquidity and the risk profile of the business.
customary covenants financial
"is subject to customary covenants"
Hart-Scott-Rodino regulatory
"waiting period under the Hart-Scott-Rodino Antitrust Improvements Act"
The Hart-Scott-Rodino Antitrust Act is a U.S. law that requires companies to notify federal regulators and wait for a review before closing large mergers or acquisitions. Think of it as a required heads-up and cooling-off period so antitrust officials can check whether a deal would unfairly reduce competition; for investors this can delay or block transactions and change the risk, timing, and expected value of corporate deals.
